中國天楹(000035.SZ)：擬籌劃子公司江蘇城環分拆上市
格隆匯 12 月 15日丨中國天楹(000035.SZ)公佈，隨着公司城市環境服務全產業鏈佈局的深入，多增長極帶動各業務板塊快速發展，形成多個獨立、成熟的產業平台，其中，在全國範圍內實施的智慧環衞及分類業務板塊發展迅速，業務規模快速增長。公司基於長遠考慮，計劃藉助資本市場進一步擴大智慧環衞、分類業務平台，根據A股上市公司分拆所屬子公司境內上市的相關規定，公司於2020年12月14日召開第八屆董事會第三次會議及第八屆監事會第三次會議，審議通過了《關於籌劃全資子公司分拆上市的議案》，同意公司全資子公司江蘇天楹城市環境服務有限公司(“江蘇城環”)籌劃分拆上市事項，並授權公司及公司經營管理層啟動分拆江蘇城環至深圳證券交易所創業板上市的前期籌備工作，包括但不限於可行性方案的論證、組織編制上市方案、制定和實施股份制改造方案、簽署籌劃過程中涉及的相關協議、聘請相關中介機構等上市相關事宜，並在制定分拆上市方案後將相關上市方案及與上市有關的其他事項分別提交公司董事會、股東大會審議。
江蘇城環主營業務如下:
1、智慧環衞業務
江蘇城環致力於通過智能終端和設備使環衞工作中的人員、車輛、設施設備等互聯互通，打造“線上+現場”高效運營的城鄉環衞智慧運營網絡。針對城市、鄉鎮、農村的生活垃圾等廢棄物，提供收集、轉運和處理處置全產業鏈系統解決方案和服務。同時提供城市道路、橋樑、地下通道、公共廣場、公共水域等城市公共區域日常清掃保潔服務以及特殊情況下的環衞應急保障等解決方案。
2、智慧分類收集
江蘇城環提供街道、黨政機關、學校、醫院、寫字樓、軍隊單位、星級酒店或度假村、農貿市場、農村、商貿中心、企業園區、公園、景點、文化公共場所、體育公共場所、機場交通樞紐、火車站、地鐵站、客運站等城市全場景垃圾分類解決方案和服務。利用“線上+現場”模式提供方案諮詢、體系建設以及運營管理等多項服務。
此次分拆後公司仍將維持對江蘇城環的控制權，不會對公司其他業務板塊的持續經營運作構成實質性影響。
