香港醫思醫療集團(02138.HK)擬收購醫學實驗室測試服務
格隆匯 12 月 15日丨香港醫思醫療集團(02138.HK)發佈公告，2020年12月14日，公司、公司間接全資附屬Jade Master International Limited作為買方、Sunny Sea Global Limited作為賣方及賣方擔保人(目標公司董事Leung Yang Shih Ti Marianne)訂立買賣協議，據此，其中包括，賣方有條件同意出售第一批銷售股份(相當於目標公司已發行股本的75%)，總代價為3.375億港元，包括應付賣方的現金代價金額2.295億港元；及將配發及發行予賣方的代價股份(值1.08億港元)，惟須受買賣協議的條款及條件所規限。第一批完成後，目標公司將成為公司的附屬公司，且目標公司的財務報表將於集團綜合入賬。
預期公司將於第一批完成時或之前與買方、賣方及各主要人員訂立保留文件，原因是正式籤立保留文件構成第一批先決條件之一。根據保留文件，(其中包括)第一批完成後，賣方及買方將轉讓保留股份予主要人員；主要人員將不可撤回地向買方授出買入選擇權；及買方將不可撤回地向主要人員授出賣出選擇權，惟須受保留文件所載條款及條件所規限。
此外，受買賣協議的條款及條件所限，買方將按最後一批代價購買而賣方將出售最後一批銷售股份。完成後，假設各主要人員於最後一批完成後仍為目標公司僱員，且概無行使賣出選擇權及買入選擇權，則買方將持有目標公司全部已發行股本的97%，而餘下3%將由主要人員持有。
訂立買賣協議前，賣方為目標公司的唯一股東，主要從事目標公司的投資。於該公告日期，賣方分別由賣方擔保人及Leung Fun Shing Vincent先生持有50%權益。目標公司是一間於香港註冊成立的有限公司。目標集團主要在香港從事為醫生及醫療機構提供醫學實驗室測試服務。收購事項將使集團得以進一步提升醫療及保健服務作為一站式綜合醫療服務供應商。
