美瑞健康國際(02327.HK)擬2520萬港元出售一間非全資附屬公司的60%股權
格隆匯 12 月 14日丨美瑞健康國際(02327.HK)宣佈，於2020年12月14日，公司間接全資附屬美瑞集團健康服務有限公司擬以2520萬港元向Taiyue Inc.出售BVI目標公司的60%已發行股本；及美瑞集團健康服務亦擬向法國巴黎醫療保健集團收購PRC目標公司全部股權，總代價為720萬港元。
值得注意的是，Taiyue Inc.為一間於毛里求斯共和國註冊成立的投資控股有限公司。於公告日期，Taiyue Inc.擁有BVI目標公司已發行股本約27.27%。此外，於公告日期及完成前，法國巴黎醫療保健集團為BVI目標公司的間接全資附屬公司，併為公司之間接非全資附屬公司。
據悉，BVI目標公司La Clinique de Paris International Limited為一間在2006年9月20日於英屬處女羣島註冊成立的有限公司，為投資控股公司。於公告日期，BVI目標集團主要於香港及上海從事提供健康管理服務。
PRC目標公司柏瑞(深圳)健康管理有限公司為一間在2016年11月28日於中國註冊成立的有限公司，主要從事投資控股。於公告日期，PRC目標公司擁有深圳柏瑞診所的80%股權，深圳柏瑞診所為一間根據中國法律註冊之有限公司，主要於中國從事提供健康管理服務。
公告稱，BVI目標集團主要於香港及上海從事提供健康管理服務。其業績未如理想，截至2018年12月31日及2019年12月31日止財政年度以及截至2020年6月30日止六個月分別錄得虧損約310萬港元及1760萬港元以及微薄溢利約210萬港元。由於BVI目標集團的業績未如理想，公司擬出售BVI目標集團，並集中資源發展PRC目標集團的健康管理業務，其潛力較BVI目標集團為佳，因此，集團認為，收購事項將使PRC目標公司成為公司的全資附屬公司，可集中發展PRC目標集團目前於中國市場從事之健康管理業務，從而加強其財務狀況。
