海辰藥業(300584.SZ)：第一期員工持股計劃延期暨變更
格隆匯 12 月 14日丨海辰藥業(300584.SZ)公佈，截至公告披露日，公司第一期員工持股計劃已出售139.03萬股，佔公司總股本的1.16%，剩餘股票數量245.783萬股，佔公司總股本的2.05%。
根據公司《第一期員工持股計劃(草案修訂稿)》的相關規定，在員工持股計劃存續期內，經出席持有人會議有效表決權的半數以上通過，並經公司董事會審議通過，員工持股計劃可以變更。
經2018年第一次臨時股東大會授權和第一期員工持股計劃持有人會議、公司第三屆董事會第十次會議審議通過，公司擬對員工持股計劃部分要素相應進行變更，主要調整內容如下：
1、存續期
根據公司第三屆董事會第五次會議審議通過的《關於公司第一期員工持股計劃存續期延長的議案》，公司第一期員工持股計劃存續期原計劃於2020年12月31日屆滿。基於對公司未來持續穩定發展的信心及公司股票價值的判斷，公司擬對此員工持股計劃延期，存續期在原定終止日基礎上延長12個月，即至2021年12月31日止。存續期內，如果此員工持股計劃所持有的公司股票全部出售，此員工持股計劃可提前終止，如果屆滿前仍未出售股票，可在屆滿前再次按照相關規定履行審議程序。
2、持有人名單
因公司董事會換屆及個別員工離職，高管人員有所變動，調整後的持有人名單及份額分配情況如下表所示：
3、管理模式
因資管新規要求及市場融資環境發生變化，公司第一期員工持股計劃擬以合法自籌資金償還“西藏信託--智臻33號集合資金信託計劃”項下全部A類信託單位份額(優先級份額)，員工持股計劃成為本信託計劃唯一受益人，信託期限相應延長12個月，原信託合同中關於預警、平倉的相關約定無需繼續履行。
4、資金來源
根據公司《第一期員工持股計劃(草案修訂稿)》約定，員工持股計劃的資金來源包括員工自籌資金及公司控股股東曹於平先生的借款，並通過西藏信託設立“智臻33號集合資金信託計劃”進行管理，按照不超過2比1的比例設立優先級、一般級份額，實現向金融機構融資，總金額不超過12,000萬元。
此次變更後，員工持股計劃的資金來源為員工的合法薪酬、公司控股股東曹於平先生的借款和法律、行政法規允許的其他方式取得的自籌資金，不涉及槓桿資金。
5、員工持股計劃展期需履行的程序
此員工持股計劃的存續期屆滿前十天，經出席持有人會議的代表所持2/3以上份額同意並提交董事會審議通過後，存續期可相應延長。
此次延期暨變更事項已經公司2020年12月14日召開的第一期員工持股計劃持有人會議和公司第三屆董事會第十次會議審議通過。公司2018年第一次臨時股東大會已授權董事會辦理公司員工持股計劃相關事宜，此次變更事項屬於公司股東大會授權董事會的權限範圍，無需提交公司股東大會審議。
