時代鄰里(09928.HK)擬收購成都合達聯行物業服務49%股權
格隆匯 12 月 14日丨時代鄰里(09928.HK)發佈公告，2020年12月11日，公司間接全資附屬廣州市時代物業管理有限公司作為買方與賣方(日照欽悦君宇企業諮詢合夥企業(有限合夥)及日照宇奎惠祥商業管理合夥企業(有限合夥))、中山德能投資有限公司(共同投資者)、成都合達聯行科技有限公司(目標公司)、成都合達聯行物業服務有限公司(項目公司)、擔保人及成都嘉瑞通樺企業管理合夥企業(有限合夥)(少數股東)訂立協議，據此，(i)買方同意收購而賣方同意出售目標公司49%的股權；及(ii)共同投資者同意收購目標公司合共31%的股權；代價約為人民幣2.97億元。
目標公司為一家根據中國法律成立的投資控股公司，目標公司全資擁有項目公司。於該協議日期，賣方A、賣方B及少數股東分別持有目標公司63.49%、16.51%及20%的股權。項目公司為一家在2007年於中國成立總部位於成都的物業管理服務公司。項目公司成立初期隸屬於成都置信實業(集團)有限公司(一家於中國成立的大型綜合性房地產企業)。項目公司依靠置信的區域優勢迅速發展物業管理服務，深耕中國西南部並輻射全國18個省市。經過2017年重組剝離後，項目公司轉由賣方全資擁有並繼續維持和置信深厚的合作關係。在2017年及2018年，在中國指數研究院發佈的中國物業服務百強企業榜上，連續兩屆榮膺中國物業服務百強企業前20名。截至2020年8月31日，項目公司的物業管理服務涵蓋合約面積約2670萬平方米及在管面積約1852萬平方米，多達185個合約管理服務項目及155個在管服務項目。其主要為住宅物業、商業物業及其他類型物業提供物業管理服務，包括政府辦公樓、旅遊景區等多種業態。項目公司亦提供城市公共服務，包含中國四川省彭州市市容秩序輔助管理服務等。
項目公司業態多元，其住宅物業、商業物業及其他類型物業分別佔在管面積的82.1%、11.2%和6.7%。其地理覆蓋廣闊，西南地區、華東地區、西北地區及華中地區分別佔在管面積的83.5%、9.3%、4.7%和2.5%。近年項目公司積極透過外拓拓展布局，第三方物業項目佔在管面積達至51%，表現出項目公司的外拓能力及品牌影響力。交割日期後，目標公司將成為公司的間接聯營公司，並預期將入賬列作公司的投資。
