ST羅頓(600209.SH)：與熙金資本和樸盈國視終止了簽署的附條件生效的股份認購協議
格隆匯 12 月 12日丨ST羅頓(600209.SH)公佈，2020年12月11日，經與浙數文化、電魂網絡、度勢發展、熙金資本和樸盈國視協商一致，公司與熙金資本和樸盈國視終止了簽署的附條件生效的股份認購協議。根據調整後的發行方案，公司和浙數文化、電魂網絡及度勢發展分別籤署了非公開發行A股股份認購協議之補充協議，合同主要約定條款如下：
“1、將非公開發行A股股份認購協議第一條(一)定義1中“‘本次發行’，指ST羅頓向包含在認購方在內的特定對象以非公開方式發行不超過131,703,350股A股股票”修改為“‘本次發行’，指ST羅頓向包含認購方在內的特定對象以非公開方式發行不超過90,746,858股A股股票”。
2、將非公開發行A股股份認購協議第二條4中“認購方承諾，在本次發行A股結束之後起18個月內，不轉讓其在本交易中取得的任何A股股份”修改為：“認購方承諾，在本次發行A股結束之後起36個月內，不轉讓其在本交易中取得的任何A股股份”。”
調整前：本次非公開發行股票的發行對象為五名特定對象。
本次向特定對象非公開發行的股票合計不超過131,703,350股，即發行數量不超過本次非公開發行前總股本439,011,169股的30%，各發行對象認購情況如下：
若公司股票在定價基準日至發行日期間發生派息/現金分紅、送紅股、配股、資本公積轉增股本等除權、除息事項，本次發行的數量將作相應調整。本次非公開發行股票數量以中國證監會最終核准發行的股票數量為準。
募集資金總額扣除發行費用後擬投資於以下項目：
調整後：本次非公開發行股票的發行對象為三名特定對象，認購數量合計不超過90,746,858股，發行數量不超過本次非公開發行前總股本439,011,169股的30%。各發行對象認購情況如下：
