重慶啤酒(600132.SH)：重慶嘉釀股權轉讓及增資等已完成工商變更登記
格隆匯 12 月 12日丨重慶啤酒(600132.SH)披露重大資產購買及共同增資合資公司暨關聯交易實施情況報告書，截至報告書出具日，根據重慶兩江新區市場監督管理局出具的准予變更登記通知書，嘉士伯香港持有的重慶嘉釀48.58%的股權已過户至上市公司並完成工商變更登記，上市公司已按照《關於重慶嘉釀啤酒有限公司之股權轉讓協議》的約定，向嘉士伯香港支付了全部股權轉讓價款。
截至報告書出具日，根據重慶兩江新區市場監督管理局出具的准予變更登記通知書，重慶嘉釀已完成此次交易之重慶嘉釀增資的工商變更登記，重慶啤酒持有重慶嘉釀51.42%的股權，嘉士伯諮詢持有重慶嘉釀48.58%的股權。
截至報告書出具日，根據嘉士伯(中國)啤酒工貿有限公司、嘉士伯啤酒企業管理(重慶)有限公司、嘉士伯啤酒(廣東)有限公司及昆明華獅啤酒有限公司所在地主管市場監督管理部門出具的准予變更登記通知書及換髮的營業執照等文件，A包資產已全部過户至重慶嘉釀，並完成相應工商變更登記。
截至報告書出具日，此次交易中重慶啤酒用於向重慶嘉釀增資的重啤擬注入業務中，除重慶啤酒部分商標尚未過户至重慶嘉釀名下外，其他主要資產、股權已經完成相關轉讓/過户/移交工作。根據本次交易相關方簽署的《增資協議》的約定，在重慶嘉釀就本次增資向有權的市場監督管理局完成變更登記之日後的15日內，重慶嘉釀的雙方股東(即上市公司和嘉士伯諮詢)應促使重慶嘉釀聘請一家雙方認可的獨立的第三方審計機構，依照中國公認會計准則對重啤擬注入業務的過渡期損益進行專項審計，並由雙方根據《增資協議》的約定享有/承擔過渡期損益。
此前重慶啤酒部分商標因涉及訴訟被查封，具體情況詳見重慶啤酒於2020年12月4日披露的《重慶啤酒股份有限公司關於公司部分銀行賬户被凍結及商標被查封暨訴訟進展的公告》(2020-046)。2020年12月9日，重慶市第一中級人民法院出具民事裁定書，裁定解除對重慶啤酒該等商標的查封。此外，為保證在該等商標變更登記至重慶嘉釀名下之前的期間內重慶嘉釀對該等商標的正常使用，重慶啤酒已與重慶嘉釀於2020年12月2日簽署《商標使用許可合同》，授權重慶嘉釀在自交割日至該等商標的到期日期間內使用該等商標。截至報告書出具日，該等商標未設定質押、限制轉讓或其他權利負擔，上市公司目前正在辦理該等商標變更登記至重慶嘉釀名下的程序，上述情形不會對此次交易的交割產生重大不利影響。
截至報告書出具日，根據新疆烏蘇啤酒有限責任公司和寧夏西夏嘉釀啤酒有限公司所在地主管市場監督管理部門出具的准予變更登記通知書及/或企業基本註冊信息查詢單及換髮的營業執照等文件，B包資產已全部過户至重慶嘉釀，並完成相應工商變更登記，重慶嘉釀已按照相關協議的約定向嘉士伯啤酒廠支付了首期股權轉讓價款，即全部轉讓價款的51%。
此次交易標的資產為股權，此次交易完成後標的公司均為上市公司的控股子公司，仍為獨立存續的法人主體，其全部債權債務仍由其享有或承擔，不涉及債權債務處理相關事宜。
