中潤資源(000506.SZ)：收到山東證監局警示函
格隆匯 12 月 11日丨中潤資源(000506.SZ)公佈，公司近日收到中國證券監督管理委員會山東監管局下發的《關於對中潤資源投資股份有限公司採取出具警示函措施的決定》([2020]74號)。監管函件內容如下：
“中潤資源投資股份有限公司：
近期，我局在日常監管中發現：2018年6月20日，你公司向蘇通建設集團有限公司出具《擔保函》，約定對於崑崙江源工貿有限公司因向蘇通建設集團有限公司借款3500萬元而尚未還款的義務，由你公司提供擔保。對於該擔保事項，你公司未按照內部規章制度要求履行規範的用印程序，未按規定履行董事會或股東大會審議程序和信息披露義務，直至2020年5月19日才披露該事項。上述行為違反了《上市公司信息披露管理辦法》第二條、第三十條和《關於規範上市公司對外擔保行為的通知》(證監發[2005]120號)第一條的相關規定。根據《上市公司信息披露管理辦法》第五十九條規定，我局決定對你公司採取出具警示函的行政監管措施，並記入證券市場誠信檔案。你公司應引以為戒，嚴格遵守相關法律法規和證監會的有關規定，不斷完善內部控制，切實保障信息披露質量，杜絕類似行為再次發生。
如對本監督管理措施不服的，可以在收到本決定書之日起60日內向中國證券監督管理委員會提出行政複議申請，也可以在收到本決定書之日起6個月內向有管轄權的人民法院提起訴訟。複議與訴訟期間，上述監督管理措施不停止執行。”
相關情況説明：2020年5月19日，公司披露了《中潤資源投資股份有限公司關於訴訟的公告》，主要為蘇通建設集團有限公司(“蘇通建設”)因企業借貸糾紛起訴公司，蘇通建設訴稱：2012 年12 月27 日，蘇通建設集團有限公司淄博分公司與被告一崑崙江源工貿有限公司簽訂《借款協議》，約定被告一向原告借款人民幣3500萬元，後承諾於2014年12 月31 日償還全部借款本息。2014 年至2015 年，被告一合計償還借款1450萬元。被告二惠邦投資發展有限公司作為保證人在《借款協議》上簽字提供連帶還本責任。被告三山東中潤置業有限公司出具《擔保函》，為被告一2100 萬元借款的全部還款義務提供連帶保證擔保。被告四中潤資源投資股份有限公司於2018 年6 月20 日出具《擔保函》，為被告一全部還款義務提供連帶保證擔保。
上述案件發生後，經公司自查，公司從未向蘇通建設集團有限公司出具過《擔保函》，亦未召開過董事會和股東大會審議為崑崙江源工貿有限公司提供擔保的議案。經公司初步判斷，《擔保函》文件產生的原因為公司公章被盜用，應不具有法律效力。上述案件仍在法院審理當中，如最終判決給公司造成損失，公司將不排除通過公安機關立案偵查以查實案件真相。
收到警示函後，公司高度重視警示函中指出的相關問題，公司將以此為戒，進一步加強內部管理和風險控制，強化印章管理，嚴格做到公司印章指定專人保管、雙人管理，監督檢查落實到位；切實嚴控印章管理，防控用印風險。
公司將嚴格遵守相關法律法規和證監會的有關規定，進一步規範公司治理，不斷加強內部控制，提高信息披露事務工作的質量和水平。
