寶鋼股份(600019.SH)：武鋼有限及湛江鋼鐵擬參股寶武清能
格隆匯 12 月 11日丨寶鋼股份(600019.SH)公佈，公司全資子公司武漢鋼鐵有限公司(“武鋼有限”)、控股子公司寶鋼湛江鋼鐵有限公司(“湛江鋼鐵”)與公司控股股東中國寶武鋼鐵集團有限公司(“中國寶武”)全資子公司寶鋼金屬有限公司(“寶鋼金屬”)、控股公司寶武集團鄂城鋼鐵有限公司(“鄂城鋼鐵”)共四家均以股權向中國寶武全資子公司寶武清潔能源有限公司(“寶武清能”)增資。
此次增資完成後，寶武清能註冊資本56.39億元，實繳資本27.39億元，武鋼有限持有寶武清能10.59%股權(實繳持股21.83%)，湛江鋼鐵持有寶武清能9.77%股權(實繳持股20.13%)，合計持有寶武清能20.36%股權(實繳持股41.96%)。
工業氣體作為現代工業的血液，國內市場規模較大、保持高速增長。2019年工業氣體市場規模達1500億，近十年維持兩位數增速。據麥肯錫預測，中國氣體行業將會持續保持兩位數增長，遠超全球，未來兩年將成為與美國、歐盟市場規模相當的全球三大氣體市場之一。清潔能源產業具有巨大的市場空間，國內供應氣體市場規模較大、空間廣闊，且將繼續快速發展，潛力巨大，氣體行業也具備更多業務重組、股權整合等機會，為整個行業的產業優化、業績提升、專業化分工的推進注入新的活力。
寶武清能作為集團內專業化運作平台，在資源整合、運營經驗及資質等方面具備較大優勢，專業化運營，有利於提升公司能源設施效率，同時業務的聚焦整合，有利於寶武清能大力拓展社會化服務，做大做強，參股寶武清能可分享其業務增長帶來的收益，獲得投資回報。
武鋼有限、湛江鋼鐵參股寶武清能後，公司將向寶武清能採購氮氣、氧氣、氬氣及壓縮空氣等氣體產品，並向寶武清能提供電、水、蒸汽等能源動力產品，發生關聯交易。公司與寶武清能之間涉及的關聯交易，待武鋼有限、湛江鋼鐵正式參股寶武清能後，按照相關法規要求履行審批程序並及時披露。
武鋼有限以武鋼氣體51%股權參股寶武清能後，武鋼氣體不再納入公司合併報表範圍。武鋼有限、公司不存在為武鋼氣體提供擔保的情況，武鋼氣體不存在佔用武鋼有限、公司資金的情況。
