大同機械(00118.HK)：控股股東溢價29.9%提私有化 12月11日起復牌
格隆匯 12 月 11日丨大同機械(00118.HK)發佈公告，2020年12月3日，公司的控股股東大同機械(控股)有限公司(作為要約人)要求董事會向協議安排股東提呈根據公司條例第673條以協議安排的方式私有化公司的建議事項，當中涉及註銷協議安排股份，而作為代價，將以現金向協議安排股東支付每股協議安排股份的協議安排代價。根據協議安排，協議安排股份將被註銷，而作為代價，每名協議安排股東將有權就已註銷的每股協議安排股份收取協議安排代價現金0.5港元。
於該公告日期，公司有861,930,692股已發行股份。411,117,229股協議安排股份相當於已發行股份總數約47.70%。假設公司的股權架構於建議事項完成前並無其他變動，根據協議安排代價每股協議安排股份0.5港元及於該公告日期有411,117,229股已發行協議安排股份計算，根據建議事項應付予協議安排股東的現金金額將約為2.06億港元。每股協議安排股份0.5港元的協議安排代價較最後交易日收市價(即股份於2020年12月3日短暫停止買賣以待發表該公告前的最後收市價)0.385港元溢價約29.9%。
要約人擬透過內部財務資源及通海財務根據貸款協議向要約人提供貸款融通撥付建議事項所需的現金，有關貸款融通以要約人根據建議事項已擁有及將擁有的股份作出的押記作抵押。通海融資信納要約人有充足財務資源履行與全面實施建議事項的有關責任。
於該公告日期：(a)公司有861,930,692股已發行股份；(b)要約人直接持有235,802,600股股份，相當於已發行股份總數約27.36%；及(c)要約人一致行動人士擁有、控制或可指示合共225,196,063股股份，相當於已發行股份總數約26.13%。許鄧沂、黃耀明及簡衞華(各自為要約人一致行動人士)合共持有的10,185,200股股份(相當於已發行股份總數約1.18%)將構成協議安排股份的一部份。
於該公告日期，協議安排股份包括協議安排股東所持有或實益擁有的合共411,117,229股股份，相當於已發行股份總數約47.70%。於該公告日期，除861,930,692股已發行股份外，公司並無擁有有關證券。協議安排生效後，要約人將直接持有已發行股份總數的75.05%，而要約人一致行動人士將直接持有已發行股份總數的24.95%。
董事會已成立獨立董事委員會，成員包括非執行董事瞿金平先生及獨立非執行董事楊淑芬、鄭達賢、何偉森及黃志煒，以就建議事項是否公平合理及如何投票向協議安排股東提供推薦建議。由於非執行董事簡衞華為要約人的董事，故簡衞華並無被選入獨立董事委員會。
當協議安排生效，所有協議安排股份將被註銷(並向要約人發行同等數目的繳足新股份)，而協議安排股份的股票此後將不再具有所有權文件或憑證的效力。公司將根據上市規則第6.15(2)條申請撤銷股份於聯交所的上市地位，自生效日期起生效。
應公司要求，股份已由2020年12月3日(星期四)下午一時正起在聯交所短暫停止買賣，以待發表該公告。公司將向聯交所申請自2020年12月11日(星期五)上午九時正起恢復股份買賣。
