格隆匯 12 月 10日丨滙景控股(09968.HK)發佈公告,2020年12月10日,(i)公司間的接全資附屬公司滙景嘉英、榮坤、宜賓樹高建築及目標公司A訂立注資協議I,據此,滙景嘉英同意透過現金注資,向目標公司A注入合共人民幣1533.33萬元,而滙景嘉英將持有目標公司A40%股本權益;(ii)公司間的接全資附屬公司百滙房地產、宜賓樹高房地產、樑先生及目標公司B訂立注資協議II,據此,百滙房地產同意透過現金注資,向目標公司B注入合共人民幣855.6萬元,而百滙房地產將持有目標公司B40%股本權益;及(iii)公司的間接全資附屬公司滙景集團(湖南)、劉先生、於先生、趙先生、孫先生及目標公司C訂立注資協議III,據此,滙景集團(湖南)有條件同意透過現金注資,向目標公司C注入人民幣2133萬元,而滙景集團(湖南)將持有目標公司C40%股本權益。

西昌樹信房地產開發有限公司(目標公司A)為於2018年10月9日在中國成立的有限公司。其主要從事物業開發及營運、物業管理服務、建築材料批發及零售、綠化管理以及園藝及綠化工程項目。其持有目標土地A的土地使用權。目標土地A位於四川省西昌市高梘鄉中所村,總建築面積約20,297.26平方米,計劃用於設有商業設施的住宅。

西昌樹高房地產開發有限公司(目標公司B)為於2017年7月15日在中國成立的有限公司。其主要從事物業開發及運營、物業管理服務、建築材料的批發及零售、綠化管理及園藝業務。其擁有目標土地B的土地使用權。目標土地B位於四川省西昌市西部新區天王大道,總建築面積約65,454.5平方米,計劃用於設有商業設施的住宅。

霸州市永正房地產開發有限公司(目標公司C)為於2001年5月18日在中國成立的有限公司。其主要從事房地產開發。其擁有目標土地C的土地使用權。目標土地C位於河北省霸州市霸州鎮賈莊村,總建築面積約289,766平方米,計劃用於設有商業設施的住宅。
