天山生物(300313.SZ)：明加哈農業擬出售其擁有的明加哈牧場資產組合
格隆匯 12 月 10日丨天山生物(300313.SZ)公佈，為優化資源配置，盤活資產存量，降低經營風險，加快資金迴流，公司全資孫公司明加哈農業有限公司(“明加哈農業”)擬向MHPF Watson Park Land Pty Ltd出售其擁有的明加哈牧場資產組合，交易總金額為3400萬澳元(根據中國人民銀行於2020年12月10日公佈的銀行間外匯市場澳元對人民幣匯率中間價為4.8684，摺合人民幣16552.56萬元，折算人民幣金額最終以交割日匯率為準)。
此次出售的標的系公司於2004年設立境外子公司以2525萬澳元從明加哈牧業、威力馬有限公司、威廉-約翰-蒂姆斯伯利-克拉克先生簽署《房產交易合同—Clarke William John Timsbury》、《房產交易合同—MINJAH PASTORAL COMPANY PTY LTD》、《房產交易合同—VAILIMA PTY LTD》等協議，收購了澳大利亞維多利亞州克拉克家族明加哈牧場資產組合，從事肉牛、奶牛的育種和繁殖，以及牛、羊引種和牛羊凍肉的貿易業務等。收購定價系根據開元資產評估有限公司出具的開元評報字[2014]097 號《新疆天山畜牧生物工程股份有限公司擬收購Clarke William John Timsbury 先生擁有及控制的澳大利亞明加哈牧場相關資產組合評估報告》定價。根據該評估報告，評估基準日2014 年5 月31 日，委估澳大利亞明加哈(Minjah)牧場相關資產組合的市場價值評估值為2601.54 萬澳元。(詳見公司於2014年7月11日在證監會指定信息披露網站巨潮網披露的開元資產評估有限公司出具的開元評報字[2014]097 號《新疆天山畜牧生物工程股份有限公司擬收購Clarke William John Timsbury 擁有及控制的澳大利亞明加哈牧場相關資產組合評估報告》)。
明加哈牧場位於澳大利亞維州西部莫特雷克鎮，總佔地面積40,500畝。該牧場地理位置較好，位於距離墨爾本約3小時車程，交通便利，距離海港、機場以及維多利亞州首府墨爾本均較近。牧場整體形狀為較規則多邊形，地勢平坦，利於機械化操作，降水豐富，地下水亦較豐富，適宜畜牧業生產。
公司在澳洲的子公司天山生物(澳大利亞)投資控股有限公司(“天山控股”)及其控制下公司自2014年至2016年初主要利用該牧場為基礎開展種牛貿易業務，2017年隨着公司整體戰略調整，公司澳洲牧場業務轉型為利用閒置牧場從事代牧業務，2019年主營業務由代牧為主轉向代牧和羊的繁殖和育肥相結合的業務。天山控股連續三年虧損，主要原因是業務規模較低，牧場沒有充分利用，業務毛利無法覆蓋其各項經營、管理和財務費用。
此次出售Minjah 牧場相關資產組合是基於公司優化資源配置、盤活資產存量所進行的安排，有利於公司改善公司經營情況，降低經營風險，進一步優化資源配置，聚焦核心業務，進一步加快公司高質量發展。
