星雲股份(300648.SZ)：與寧德時代等簽署的設備採購合同金額累計數較大 可能對公司經營成果產生重大影響
格隆匯12月9日丨星雲股份(300648.SZ)公佈，公司於2019年1月1日與寧德時代新能源科技股份有限公司(“寧德時代”)簽訂了《框架採購合同》，合同生效日期：2019年1月1日至2021年12月31日。上述合同未約定合同金額，具體價格以採購訂單為準，採購訂單由雙方另行共同製作並蓋章確認。
自2020年1月1日起公司分別與寧德時代新能源科技股份有限公司、時代上汽動力電池有限公司、江蘇時代新能源科技有限公司、Contemporary Amperex Technology Thurnigia GmbH、青海時代新能源科技有限公司、時代一汽動力電池有限公司(“寧德時代及其控股子公司”)簽署了採購訂單。時代上汽動力電池有限公司、江蘇時代新能源科技有限公司、Contemporary Amperex Technology ThurnigiaGmbH、青海時代新能源科技有限公司、時代一汽動力電池有限公司均為寧德時代新能源科技股份有限公司之子公司，屬於同一交易對手方。
自2020年1月1日起至公告披露日，公司與同一交易對手方簽訂日常經營合同金額累計達到215,423,833.37元，佔公司2019年度經審計主營業務收入的59.08%；其中2020年1月1日至2020年4月28日，累計簽訂日常經營合同金額達113,280,687.71元，具體內容詳見公司於2020年4月28日披露的《關於簽訂日常經營重大合同的公告》；2020年4月29日起至公告披露日，新增簽訂日常經營合同金額累計達102,143,145.66元。新增籤署採購訂單情況詳見附件《採購訂單簽署情況彙總(2020.04.29-2020.12.10)》。根據《深圳證券交易所創業板股票上市規則》《深圳證券交易所創業板上市公司規範運作指引》等相關法律、法規規定，公司與寧德時代及其控股子公司簽署的設備採購合同金額累計數較大，可能對公司的經營成果產生重大影響。
上述合同的簽訂，是公司進一步深化以技術為核心驅動的生態戰略佈局的重要體現，彰顯了公司在新能源汽車動力電池檢測領域的綜合實力，標誌着戰略合作夥伴對公司能力的高度認可，有利於進一步提升公司在業內的聲譽和品牌影響力。同時，合同的實施有利於提高公司在新能源汽車動力電池領域的技術水平和服務能力，進一步增強公司核心競爭力，為公司新能源汽車動力電池相關業務的拓展夯實基礎。
上述合同的簽訂，將對公司2020年度的營業收入和營業利潤產生積極影響。該合同的履行不會對公司業務的獨立性構成影響，公司主要業務也不會因履行本合同而對交易對手方形成依賴。
