南京新百(600682.SH)擬以所持新百地產100%股權增資宏圖地產
格隆匯 12 月 8日丨南京新百(600682.SH)公佈，公司擬以持有的全資子公司南京新百房地產開發有限公司(新百地產)100%股權增資江蘇宏圖高科房地產開發有限公司(宏圖地產)。此次交易完成後，南京新百將持有宏圖地產46.31%的股權，宏圖地產將持有新百地產100%的股權，南京新百將不再直接持有新百地產股權。
公告顯示，①新百地產的存量地產項目已接近尾聲，根據南京新百總體發展戰略，南京新百將不再開展新的地產項目，並將集中精力突出主業，逐步退出房地產業務，同時徹底解決同業競爭。②三胞集團將繼續開展地產業務並已經儲備了部分項目，其後續將陸續實施的地產項目體量較大，有擴大地產業務規模的現實需求，且三胞集團的地產項目包含具有符合南京新百業務方向的養老健康細胞等產業園內容，對南京新百後期的產業拓展具有支撐作用。③自2014年為了暫時解決同業競爭問題，南京新百將新百地產的存量地產業務交由宏圖地產委託代管始，南京新百已經不再實際經營管理地產項目，且宏圖地產較好的履行了委託代管的職責，實現了新百地產資產的有效增值。
鑑於上述南京新百聚焦主業退出地產業務的發展戰略以及三胞集團房地產板塊業務發展的現實需求，南京新百將全資控股的新百地產全部股權增資投入宏圖地產，有利於延續新百地產自2014年以來的經營管理模式，有利於增強房地產板塊業務協同性，有利於新百地產的業務發展及增值，有利於南京新百進一步增加股權收益，有利於南京新百後期的產業導入和拓展。
此次整合完畢後，上市公司參股宏圖地產並將不再直接持有新百地產股權，此次交易同時，三胞集團承諾未來五年內回購上市公司持有的由此次增資形成的宏圖地產全部股權，完成上市公司徹底退出房地產業務的戰略規劃，聚焦主營業務，並解決上市公司與集團因房地產業務可能產生的同業競爭問題。
