光弘科技(300735.SZ)擬出資2100萬元投資金浦國調併購股權基金
格隆匯 12 月 8日丨光弘科技(300735.SZ)公佈，為推進公司整體戰略的實施，公司於2020年12月07日在公司會議室與寧波梅山保税港區錦程沙洲股權投資有限公司(“錦程沙洲”或“轉讓方”)簽署《上海金浦國調併購股權投資基金合夥企業(有限合夥)有限合夥人份額轉讓協議》。
錦程沙洲為上海金浦國調併購股權投資基金合夥企業(有限合夥)的有限合夥人，總認繳出資人民幣3億元。根據轉讓協議，光弘科技以零對價受讓錦程沙洲認繳但尚未實繳的出資人民幣2100萬元對應的合夥權益。此次交易完成後，光弘科技以自有資金認繳出資額2100萬元，成為上海金浦國調併購股權投資基金合夥企業(有限合夥)的有限合夥人，並於2020年12月07日簽署《上海金浦國調併購股權投資基金合夥企業(有限合夥)有限合夥協議》(“合夥協議”)。
上海金浦國調併購股權投資基金合夥企業(有限合夥)(“合夥企業”或“基金”)，主要從事股權投資，投資管理。(依法須經批准的項目，經相關部門批准後方可開展經營活動)。上海金浦創新股權投資管理有限公司(“上海金浦創新”，為“普通合夥人一”)與上海垛田企業管理中心(有限合夥)(“上海垛田”，為“普通合夥人二”)擔任合夥企業的普通合夥人；執行事務合夥人為普通合夥人之一的“上海金浦創新”，同時也為合夥企業管理人。
此次公司出資2100萬元投資的基金主要投資於併購、Pre-IPO 及具有成長性的可投資標的，投資行業包括高端製造、信息技術、新材料、醫療健康、節能環保、半導體等行業。基金的管理人及普通合夥人具有較為豐富的基金管理經驗和健全的工作機制，在科技相關行業擁有深厚的行業投資經驗及穩健的投資團隊。公司參與認購基金，有利於藉助專業投資機構的優勢，降低公司自身投資業務風險，把握優質賽道，為公司培育新的利潤增長點，是公司繼續踐行立足多元化發展戰略的重要舉措。
