華西股份(000936.SZ)：上海啟瀾收購Diamond Hill事項第二期付款已存入共管賬户
格隆匯12月8日丨華西股份(000936.SZ)公佈，公司2020年7月17日召開第八屆董事會第一次會議，審議通過了《關於認購合夥企業份額的議案》，公司作為有限合夥人認繳上海啟瀾11.42億元出資，占上海啟瀾總規模的99.30%；江陰華西村投資有限公司作為普通合夥人認繳出資800萬元，占上海啟瀾總規模的0.70%。截止目前，公司累計已向上海啟瀾實繳出資人民幣10.54億元。
另外，公司於2020年6月8日召開第七屆董事會第二十八次會議，審議通過了《關於收購合夥企業權益的議案》，由公司控制主體上海啟瀾收購Diamond Hill, L.P.部分權益以及由該次交易引發的索爾思光電其他股東共售權交易。
上海啟瀾為專項開展索爾思光電收購項目的特別主體。根據上海啟瀾與交易對手方於2020年6月8日、6月24日簽署的《合夥權益收購協議》、《股份轉讓協議》中關於付款安排條款約定：交易各方約定上海啟瀾應當在中國境內由上海啟瀾和Diamond Hill Partners Limited共同同意的一家商業銀行，以上海啟瀾的名義開立一個共管賬户，並由上海啟瀾和Diamond Hill Partners Limited(或其指定人士)共同監管。
只要協議沒有根據協議條款在2020年7月31日之前被終止，上海啟瀾應當在2020年7月31日之前將1億美元的等值人民幣存入共管賬户(“第一期付款”)。上海啟瀾已完成上述第一期付款。
只要協議沒有根據協議條款在2020年11月30日之前被終止，上海啟瀾應當在2020年11月30日之前存入資金使得共管賬户中具有等值於收購價款總額的人民幣。存入總金額與第一期付款之間的差額稱之為“第二期付款”。如上海啟瀾未能按照協議約定履行付款義務且未能在賣方發出通知後的10個自然日(“寬限期”)改正的，則Diamond Hill Partners Limited有權向上海啟瀾主張終止。每一個賣方均有權就上海啟瀾截至寬限期仍然應付未付款項按照年化15%的利率主張延遲支付利息，直至上海啟瀾履行全部支付義務或本協議依照約定終止為止。
上海啟瀾已根據上述《合夥權益收購協議》、《股份轉讓協議》中關於付款安排條款約定，將第二期付款於2020年12月8日以前(含)存入共管賬户，確保共管賬户中具有等值於收購價款總額(約1.59億美元)的人民幣。
