VESYNC(02148.HK)公佈於聯交所主板上市計劃詳情：擬發售2.81億股股份 每股發售價4.68-5.52港元
2020年12月8日，美國小家電線上市場的市場參與者之一Vesync Co., Ltd (“Vesync”；02148.HK)公佈於香港聯交所主板上市計劃詳情。集團的業務主要專注於線上營銷及以旗下知名度不斷提升的品牌銷售的自主設計開發小家電及智能家居設備，並主要通過美國最大的電子商務交易市場亞馬遜銷售產品。在小家電零售商中，Vesync於2019年在美國就通過亞馬遜產生的零售額而言排名第三，就通過所有線上渠道產生的零售額而言排名第五。
集團計劃發售合共2.81億股股份(視乎超額配股權行使與否而定)，當中約2.53億股股份將作國際發售(視乎超額配股權行使與否而定及可予重新分配)，2810萬股股份將作香港公開發售(可予重新分配)。指示性發售價範圍介乎每股發售股份4.68港元至5.52港元。假設超額配股權未獲行使及發售價為每股5.10港元(即發售價範圍的中位數)，估計發售所得款項淨額(經扣除包銷佣金及全球發售相關的其他估計開支)將約為13.30億港元。
最終發售價及配售結果將於2020年12月17日(星期四)或之前公佈。Vesync股份將於2020年12月18日(星期五)在香港聯交所主板開始買賣，股份代號為2148，每手買賣單位為1,000股。
法國巴黎證券(亞洲)有限公司及創升融資有限公司為是次上市的聯席保薦人。法國巴黎證券(亞洲)有限公司及創升證券有限公司為聯席全球協調人。法國巴黎證券(亞洲)有限公司、創升證券有限公司、海通國際證券有限公司、興證國際融資有限公司、大華繼顯(香港)有限公司及民銀證券有限公司為聯席賬簿管理人及聯席牽頭經辦人。
值得注意的是，集團與三名投資者，分別為Hillhouse Capital Advisors, Ltd.、Meridian Future以及Orchid China及LMA SPC(合稱“基石投資者”)訂立基石投資協議。假設發售價為每股股份5.10港元(即指示性發售價範圍的中位數)，基石投資者就發售價認購合計約1.44億股國際發售股份作出的基石投資總額將為9466萬美元。
假設超額配售權不獲行使及發售價為每股5.10港元(指示性發售價範圍4.68港元及5.52港元的中位數)，集團預計全球發售的所得款項淨額扣除相關包銷費用及與全球發售相關的預計開支後，將約達13.30億港元。其中約30.0%將用於新產品的研究及開發及現有產品的更新換代；約25.0%將用於擴大公司的銷售渠道及地理覆蓋範圍以及提高公司的品牌知名度；約25%將用於將公司的VeSync應用程序升級為一個家庭物聯網平台；約10%將用於為企業客户開發及推出智能解決方案；及約10.0%將用於營運資金。
