第一視頻(00082.HK)重組電信傳媒業務 擬更名為“瘋狂體育集團”
格隆匯12月7日丨第一視頻(00082.HK)發佈公告，集團於2020年12月7日通過訂立買賣協議進行重組。根據買賣協議，公司（作為賣方）已同意出售，而中阿衞視（一家於阿聯酋迪拜註冊成立並於其設立總部的中阿雙語衞星電視台）基金（作為買方）已同意購買Golden Target的全部已發行股本及於中國投資的99.9%股權，作為公司認購於中阿衞視基金的有限合夥權益的實物注資。
同日，公司全資附屬公司Goal Dynasty訂立認購協議，據此，Goal Dynasty同意認購於中阿衞視基金的有限合夥權益，認購總額為1108萬美元。
於出售完成後及自2021年1月1日起，董事會組成將有所變動，旨在為集團注入年輕、富有活力及專業的團隊，領導集團取得進一步增長。其中王淳女士將辭任執行董事；姬強先生將辭任執行董事；王臨安先生及宮佔奎教授將於2020年12月31日彼等各自的服務合約屆滿後不再擔任獨立非執行董事；彭錫濤先生將獲委任為公司執行董事兼行政總裁；臧東力先生及周京平先生將獲委任為獨立非執行董事。
此外，董事會建議將公司的英文名稱由“V1 Group Limited”更改為“Crazy Sports Group Limited”，公司的副名由“第一視頻集團有限公司”更改為“瘋狂體育集團有限公司”。董事會認為更改公司名稱能更好地反映集團的未來業務計劃及發展。董事會認為於重組後，新名稱賦予公司更加相關及獨特的企業形象，有利於公司的未來業務發展，且符合公司及股東整體的最佳利益。
據悉，瘋狂體育集團為一間中國領先的體育彩票及娛樂服務提供商。自成立以來，瘋狂體育集團已取得大幅增長。於2019年，瘋狂體育集團的經審核收益為1.86億港元，毛利為1.24億港元。
公司表示，集團以兩個業務分類經營：即體育及彩票相關業務；及電信傳媒及電商業務，於過去數年，這兩類業務一直以其各自的策略及特點分開營運。一方面，自集團於2018年底收購瘋狂體育集團以來，集團的體育及彩票相關業務經歷快速的增長及發展，瘋狂體育集團已成為為集團帶來溢利的核心引擎。另一方面，集團電信傳媒及電商業務分類還沒有合適的機會及市場發展來脱穎而出。量子港業務一直營運在極具挑戰及競爭的環境之下且利潤率較低。因此，董事會決定於2021年第一季度前終止量子港業務的營運。
出售事項後，集團將不再經營電信傳媒業務。重組將使公司可部署及精簡其財務、人員及其他資源以進一步推進其策略專注於盈利最豐厚和有前途的業務分類（如瘋狂體育集團），同時，集團透過於中阿衞視基金的被動投資者的角色將繼續持有其於中阿衞視集團及中國投資的權益，並於其中獲得潛在回報。中阿衞視集團及於中國投資的投資均為資本密集型。公司旨在利用中阿衞視基金的外部網絡及普通合夥人的專業知識挖掘潛在融資機會，從而利用其他投資者的進一步注資繼續維持該等業務的營運。董事會認為，重組屬最適當且合適的安排，並符合公司及股東的整體利益。
