大豪科技(603025.SH)擬購買資產管理公司及紅星股份100%股權 明日復牌
格隆匯12月7日丨大豪科技(603025.SH)公佈，公司擬向一輕控股發行股份購買其持有的資產管理公司100%股權，向京泰投資發行股份購買其持有的紅星股份45%股份，向鴻運置業支付現金購買其持有的紅星股份1%股份。本次交易完成後，上市公司將直接持有資產管理公司100%股權，直接和間接持有紅星股份100%股份。發行價為7.24元/股。
上市公司擬向不超過35名特定對象以非公開發行股票的方式募集配套資金，發行股份數量不超過本次發行前上市公司總股本的30%，募集配套資金總額不超過本次交易中以發行股份方式購買資產的交易價格的100%。本次交易上市公司向投資者非公開發行股票募集配套資金的發行價格不低於上市公司募集配套資金髮行期首日前20個交易日上市公司股票交易均價的80%。
本次募集配套資金擬用於支付本次交易的現金對價、相關交易税費及中介機構費用、標的公司項目建設、補充上市公司及標的公司流動資金、償還債務等，其中用於補充上市公司和標的公司流動資金、償還債務的比例不超過本次交易作價的25%或募集配套資金總額的50%。募集資金具體用途及對應金額將在重組報告書中予以披露。
本次交易前，上市公司主要業務為各類智能裝備的擁有完全自主知識產權電腦控制系統的研發、生產和銷售。通過本次交易，上市公司將獲得資產管理公司及紅星股份的控股權，除上市公司原有業務外，上市公司業務將擴充至酒類、食品飲料、樂器等大消費領域，及應用於集成電路封裝、光電功能等新材料領域。
交易完成後，上市公司將擁有“紅星”品牌系列白酒、“北冰洋”品牌系列飲料、“義利”品牌系列食品、“星海”品牌系列鋼琴等，多維度豐富上市公司業務線。本次交易後，預計上市公司收入規模將進一步擴大，財務狀況將得到改善，盈利能力將得到增強。
公司股票將於2020年12月8日開市起復牌。
