珠光控股(01176.HK)擬9億元收購廣州發展汽車城剩餘49%權益
格隆匯 12 月 7日丨珠光控股(01176.HK)宣佈,於2020年12月7日,公司全資附屬保鋒投資有限公司擬以人民幣9億元收購目標公司廣州發展汽車城有限公司49%股本權益。
據悉,目標公司主要業務活動為物業發展。於公告日期,集團及賣方分別擁有目標公司的51%及49%股本權益。廣州土地乃目標公司的主要資產,而該土地可作商業、旅遊業及娛樂用途,為期40年並於2058年2月20日屆滿,而作綜合及其他用途者則為期50年並於2068年2月20日屆滿。廣州土地計劃發展為集(但不限於)購物中心、辦公室物業及高端公寓樓宇為一體的商業綜合大樓。
於公告日期,目標公司持有項目的權益。項目包括髮展廣州土地,總地盤面積約63,637平方米,並將發展為辦公室、公寓及商業用途之樓宇。項目用作銷售及發展之總建築面積("建築面積")分別約352,158平方米及360,655平方米,而項目分為四期進行發展。第一期至第三期項目於公告日期正進行施工。第一期項目涵蓋四座公寓大樓(包括部分零售),佔可供出售總建築面積約33,095平方米,其於2020年7月開始預售,並預期於2022年四月竣工,而項目之餘下期數用作銷售之總建築面積約319,063平方米,預期於2025年五月前竣工。
公告稱,董事會對中國一線城市及粵港澳大灣區之物業發展業務前景抱持樂觀態度。由於位於中國廣州市之廣州土地由目標公司擁有,並計劃透過項目發展成辦公室、公寓、商業、旅遊及娛樂用途,憑藉收購目標公司的49%餘下股本權益,集團將得以全權控制項目及完全擁有廣州土地。此外,廣州土地位於中國廣東省廣州市天河區黃埔大道東,鄰近廣州地鐵5號線之三溪站,且位於中國廣東省廣州市天河區之已規劃廣州國際金融城範圍內,故其發展潛力龐大。鑑於廣州土地之發展潛力且其地理位置優越兼交通便利,董事會認為,收購事項誠屬集團於中國廣州市進一步發展及擴張其物業發展業務之策略性良機。
