納思達(002180.SZ)：艾派克微電子擬引入戰投 國家集成電路產業投資基金二期領投
格隆匯 12 月 7日丨納思達(002180.SZ)公佈，2020年12月7日，公司召開第六屆董事會第十三次會議，審議通過了《關於全資子公司珠海艾派克微電子有限公司以人民幣170億投前估值增資擴股引入戰略投資者的議案》、《關於公司以人民幣190億估值(增資擴股後估值)與增資同時轉讓全資子公司珠海艾派克微電子有限公司股權引入戰略投資者暨關聯交易的議案》，公司全資子公司珠海艾派克微電子有限公司(“艾派克微電子”)擬以增資擴股及納思達轉讓艾派克微電子股權的方式引入戰略投資者。
此次公司引入的戰略投資者以國家集成電路產業投資基金二期股份有限公司為領投方，導入資金合計人民幣32億元。其中，以增資方式獲得股權的投資人按照艾派克微電子的投前估值人民幣170億元進行投資，增資投資人擬向艾派克微電子合計增資人民幣20億元，增資投資人合計將取得艾派克微電子增資擴股後10.526%股權；同時，以轉股方式獲得股權的投資人擬按照艾派克微電子增資投後估值人民幣190億元的估值，以合計人民幣12億元向納思達受讓其持有艾派克微電子增資擴股後6.315%股權。

此次交易完成後，納思達持有艾派克微電子的股權比例由100%降至83.159%，納思達仍為艾派克微電子的控股股東，不會導致合併報表範圍發生變化，也不會對納思達2020 年度財務及經營狀況產生重大影響。
艾派克微電子是國家工業和信息化部認定的集成電路設計企業，屬於納思達的全資子公司。艾派克微電子是打印機主控SoC芯片和打印耗材SoC芯片的產品供應商，也是工業級通用MCU芯片和工業物聯網系統級安全SoC芯片供應商。艾派克微電子擁有珠海、杭州、上海和美國四個研發中心，具有安全芯片技術、CPU設計技術、多核SoC設計技術及兼容芯片設計技術等核心技術。
艾派克微電子是2017年國家核高基重大專項《國產嵌入式CPU 規模化應用》的牽頭承擔企業。艾派克微電子基於國產嵌入式CPU的SoC/MCU芯片出貨量超過五億顆，是基於國產CPU的最大芯片供應商，相關產品八次獲得“中國芯”最佳市場表現獎。
在保持打印機系列芯片市場競爭力同時，艾派克微電子聚焦自身優勢技術，佈局工業級通用MCU芯片和工業物聯網安全芯片，工業級通用MCU芯片銷量快速增長，基於國產CPU的工業物聯網安全主控芯片已經量產，其中基於SoC-eSE技術的工業物聯網安全芯片SCS235通過了國家密碼管理局商用密碼檢測中心的安全認證，獲得商用密碼認證安全芯片類產品安全二級證書。SCS235安全芯片是國內安全芯片產品中首次採用自主指令架構CPU核的雙核異構芯片，在性能、安全性、可靠性、功耗、成本等各方面均具備極大優勢。
此次交易對於艾派克微電子佈局其工業級通用MCU芯片及工業物聯網安全SoC芯片佈局具有重要意義。
