格隆匯 12 月 7日丨渝開發(000514.SZ)公佈,公司南樾天宸A69/01項目位於茶園-鹿角組團A標準分區A69/01 地塊,地總佔地面積約6萬㎡,由公司開發建設。團購物業為該地塊全部高層建築劃建設10其中1-9樓擬售建築面積約11.3萬㎡房屋價款為1257576276;由於產品類型及交易對方需求原因10號樓(擬售建築面積1.93)銷售具有不確定性。10號樓若達到銷售條件,根據產品類型調整情況再確定建築面積單價10000/11100 /㎡計價此次協議交易金額最大為1471815045元。由於10號樓的銷售及價格具有不確定性,實際交易金額可能在差異。

20201015日,公司九屆董事會第四次會議審議通過了《關於南樾天宸項目A69/01地塊高層團購並簽訂框架協議的議案》,同意公司南樾天宸項目A69/01地塊高層房屋被重慶經濟技術開發區徵地服務中心(以下簡稱:“經開區徵地中心”)團購並與其簽訂框架協議,並授權經理團按照框架協議內容推動並辦理後續相關事宜,包括但不限於滿足前提條件後簽定正式團購協議等。

目前上述框架協議約定的前提條件已滿足,2020127日,公司與經開區徵地中心簽訂了《“渝開發南樾天宸住宅房屋購買協議

次團購由於10號樓的銷售具有不確定性故暫時無法估算數據,測算1-9號樓的銷售最終可形成歸屬上市公司的淨利潤約3億元,此次銷售完成對公司本年度業績情況不產生重大影響。
