積成電子(002339.SZ)：擬與鐵投能源、中能電氣共設山東鐵投能源發展有限公司
格隆匯 12 月 7日丨積成電子(002339.SZ)公佈，隨着物聯網、大數據、人工智能等先進技術的快速發展，電網智能化成為必然趨勢，為進一步助力打造綠色低碳、智能化的鐵路運維體系，提升鐵路系統運維管理效率，公司與山東鐵投能源有限公司(“鐵投能源”)、中能電氣股份有限公司(“中能電氣”)共同出資設立山東鐵投能源發展有限公司(“標的公司”)。該公司註冊資本為5000萬元人民幣，其中公司認繳出資額1500萬元，佔註冊資本的30%；鐵投能源認繳出資額2000萬元，佔註冊資本的40%；中能電氣認繳出資額1500萬元，佔註冊資本的30%。
此次投資設立參股公司事宜，符合公司長遠發展戰略。此次三方共同投資設立的公司主要從事鐵路系統設備智能運維及能源管控和節能技術推廣應用等綜合能源服務，屬於國家鼓勵支持的戰略新興產業，有良好的發展前景。該項投資旨在依託各方技術專長和資源優勢，把握國家積極推動智能電網、電力物聯網和大數據規劃建設的機遇，加快公司業務在綜合能源服務和智能運維領域的推廣應用，符合公司在軌道交通、鐵路等市場和綜合能源服務領域的戰略佈局，有助於公司培育新的利潤增長點，對公司持續長遠發展具有重要意義。
此次投資有利於實現投資各方合作共贏。此次合作方為山東鐵投能源有限公司和中能電氣股份有限公司，山東鐵投能源有限公司是山東鐵路投資控股集團能源板塊主體經營單位，具有山東省內濟青高鐵、魯南高鐵、濰萊高鐵、鄭濟高鐵等項目資源和政策優勢。中能電氣股份有限公司為深交所創業板上市公司(股票代碼：300062)，主營輸配電一二次產品的研發、生產、銷售、服務及整體系統解決方案，是國內領先的能源互聯網解決方案提供商之一。此次合作有利於充分發揮各方品牌、技術、資金、管理、渠道等全產業鏈資源優勢，實現投資各方合作共贏。
