匯金通(603577.SH)：擬放棄收購重慶江電80%股權的機會
格隆匯 12 月 4日丨匯金通(603577.SH)公佈，公司控股股東河北津西鋼鐵集團股份有限公司(“控股股東”或“津西股份”)於近日向公司送達了《關於獲得收購重慶江電電力設備有限公司80%股權機會的通知》：標的公司重慶江電電力設備有限公司(“重慶江電”或“標的公司”)創立於1996年，位於重慶市江津區德感工業園，具備特高壓及以下各電壓等級電力鐵塔生產能力，擁有建築業企業資質證書及鐵路產品認證證書，主營產品為電力塔、通訊塔、智慧燈杆、鐵路接觸網支柱等，年設計生產能力合計約10萬噸。現有股東曾祥先及常湞擬通過協議轉讓方式將其持有的重慶江電80%的股權進行轉讓。
鑑於重慶江電與匯金通具有直接競爭關係，根據津西股份2020年6月7日作出的《關於避免同業競爭的承諾》，津西股份將上述商業機會優先提供給匯金通選擇。
經公司董事會研究，綜合考慮重慶江電目前處於虧損的運營階段，未來盈利狀況尚存在不確定性，暫不符合由上市公司進行直接收購的條件。為避免投資風險，最大限度保護公司及全體股東特別是中小股東的利益，公司董事會擬放棄本次商業機會，同意由津西股份或其下屬子公司先行收購重慶江電80%股權，並要求控股股東、實際控制人出具《關於進一步避免同業競爭的補充承諾》，在重慶江電符合注入上市公司條件後2年內且不晚於2023年12月31日注入上市公司。
公司第三屆董事會第十九次會議審議通過了《關於關聯方擬先行收購重慶江電電力設備有限公司80%股權暨控股股東、實際控制人進一步避免同業競爭補充承諾的議案》，關聯董事李明東、蔡維鋒迴避表決，上述議案尚需獲得股東大會的批准，與該事項有利害關係的關聯人將在股東大會上回避表決。
同日，津西股份全資子公司河北津西型鋼有限公司(“津西型鋼”)與重慶江電簽訂《關於重慶江電電力設備有限公司之附生效條件的股權轉讓協議》。上述股權轉讓完成後，津西型鋼將持有重慶江電80%的股份，成為其控股股東，該協議在《關於關聯方擬先行收購重慶江電電力設備有限公司80%股權暨控股股東、實際控制人進一步避免同業競爭補充承諾的議案》經公司股東大會批准後生效。
