志邦家居(603801.SH)：監事解明海收到安徽證監局責令參加培訓的行政監管措施決定書
格隆匯 12 月 4日丨志邦家居(603801.SH)公佈，公司監事解明海於2020年12月2日收到中國證券監督管理委員會安徽監管局《關於對解明海採取責令參加培訓措施的決定》的行政監管措施決定書([2020]32號)，現將《決定書》全文公告如下：
解明海：
你作為志邦家居監事，存在以下違規行為：
志邦家居於2020年4月28日披露2020年第一季度報告，而你在2020年4月22日、23日和27日(屬於定期報告披露前30日內)，通過集中競價交易系統合計減持志邦家居股票11.5萬股，交易金額284.76萬元。上述行為，違反了《上市公司董事、監事和高級管理人員所持本公司股份及其變動管理規則》(證監公司字[2007]56號)第13條有關規定和《上市公司股東、董監高減持股份的若干規定》(證監會公告[2017]9號)第3條有關規定。
為督促你提高法治規範意識、提升職業操守和職業能力，根據《上市公司股東、董監高減持股份的若干規定》第14條規定，我局決定對你採取責令參加培訓的行政監管措施，責令你在收到本決定書之日起3個月內至少參加一次中國證監會或上海證券交易所等專業機構舉辦的相關法律法規培訓，並在培訓結束後15日內將培訓證明原件及複印件提交我局，同時，我局根據《證券期貨市場誠信監督管理暫行辦法》將相關情況記入誠信檔案。
如果對本監督管理措施不服的，可以在收到本決定書之日60日內向中國讓券監督管理委員會提出行政複議申請，也可以在收到本決定書之日起6個月內向有管轄權的人民法院提起訴訟。複議與訴訟期間，上述監督管理措施不停止執行。
解明海接受安徽證監局的上述決定，對窗口期違規減持行為給公司及全體股東造成的負面影響深表歉意，將及時按要求參加培訓。公司及全體董事、監事及高級管理人員將吸取此次教訓，加強對相關法律法規和規範性文件的學習，杜絕此類情況再次發生。
