金陵飯店(601007.SH)：以非公開協議轉讓方式受讓貿易公司所持蘇糖公司52.2%股權
格隆匯 12 月 4日丨金陵飯店(601007.SH)公佈，公司第六屆董事會第二十四次會議決議，審議通過了《關於收購江蘇金陵貿易有限公司所持江蘇蘇糖糖酒食品有限公司52.2%股權的議案》。
江蘇蘇糖糖酒食品有限公司(“蘇糖公司”)為公司控股子公司江蘇金陵貿易有限公司(“貿易公司”)的控股子公司。蘇糖公司主要經營高中檔酒類業務，由貿易公司持股52.2%，陳國鎖等14位自然人股東持股47.8%。貿易公司為公司的控股子公司，公司持股90%，南京金陵大廈有限公司持股10%。根據北京北方亞事資產評估事務所(特殊普通合夥)出具的《金陵飯店股份有限公司擬收購股權涉及的江蘇蘇糖糖酒食品有限公司股東全部權益價值資產評估報告》(北方亞事評報字[2020]第01-669號)，截至評估基準日2020年7月31日，蘇糖公司所有者權益賬面價值9946.54萬元，評估值10895萬元，評估增值948.46萬元，增值率9.54%。
為了進一步做強做大蘇糖酒類貿易業務，優化財務結構，減少管理層級，深化蘇糖公司體制改革，公司董事會同意蘇糖公司從未分配利潤中提取2625萬元，其中2100萬元用於轉增註冊資本，525萬元用於向股東分紅，將蘇糖公司註冊資本由3000萬元增加至5100萬元；公司以非公開協議轉讓方式受讓貿易公司所持蘇糖公司52.2%股權，轉讓價格以評估值為基準測算確定。
此次股權收購完成後，蘇糖公司成為公司直接控股的子公司，可提升蘇糖公司法人層級，推進落實國有企業“雙百行動”綜合改革相關任務，進一步深化蘇糖公司體制改革，完善新項目合夥人機制，做大酒類貿易業務規模和江蘇市場份額，有利於公司增加利潤空間、推進持續發展，有利於全體股東的利益。
董事會授權公司經營層與貿易公司簽署《股權轉讓協議》，並辦理股權交割及工商登記等事宜。
此次股權收購不構成關聯交易，無需提交公司股東大會審議。
