北控醫療健康(02389.HK)：行使認沽期權，轉讓古大電子商務(上海)4.87%股權
格隆匯 12 月 4日丨北控醫療健康(02389.HK)公佈，於2017年4月30日，上海翀遠投資管理有限公司("投資人")及上海覲康企業管理有限公司("轉讓方")(均為公司的全資附屬公司)與丁業榮先生("受讓方一")及劉長江先生("受讓方二"，與受讓方一合稱("受讓方")及古大電子商務(上海)有限公司("目標公司")簽定有關目標公司的增資協議。據此，投資人通過轉讓方認購目標公司註冊資本人民幣105.26萬元(於公告日期約佔目標公司4.87%股權)。
據悉，目標公司為一間於中國成立的有限責任公司，擁有"今日•天下通"平台，該平台為目前中國領先的B2B電子客票交易平台之一，通過與國內專業的第三方支付平台合作，提供"簡單、安全、快速"的支付模式，致力於打造專業的機票交易服務平台。目前，該平台已整合全球超過600家航空公司和全國超過100多家一級航空代理資源，分銷商超過30萬家，航線業務覆蓋面已遍佈全球。
於2020年12月4日，投資人根據增資協議中的回購權條款行使認沽期權，並就此與轉讓方和受讓方訂立股權轉讓協議。據此，轉讓方同意按投資人指示向受讓方轉讓，受讓方同意自轉讓方回購回購股權。
根據增資協議，轉讓方代投資人持有目標公司註冊資本人民幣105.26萬元(於公告日期約佔目標公司4.87%股權)。轉讓方同意按投資人指示向受讓方轉讓，受讓方同意自轉讓方回購目標公司註冊資本人民幣105.26萬元(即回購股權)。於完成行使認沽期權後，集團將不再持有目標公司任何權益。
根據股權轉讓協議，受讓方就回購股權應付轉讓方的總代價為人民幣3643萬元(即根據增資協議就認購回購股權應付之代價及按8%之年化回報率計算之收益)，分別由受讓方一及受讓方二各自以人民幣1821.5萬元回購目標公司註冊資本人民幣526,300元。
