新力金融(600318.SH)：部分董監高及控股子公司經營層人員擬延期實施增持計劃並明確增持承諾
格隆匯 12 月 4日丨新力金融(600318.SH)公佈，公司於近日收到公司部分董監高及控股子公司經營層人員提交的《關於延期實施增持計劃並明確增持承諾的函》，公司於2020年12月4日召開第八屆董事會第十二次會議、第八屆監事會第九次會議，審議通過了《關於公司部分董監高及控股子公司經營層人員延期實施增持計劃並明確增持承諾的議案》。擬延期實施增持計劃並明確增持承諾的原因及相關情況如下：
(一)擬延期實施增持計劃並明確增持承諾的原因
1、2020年11月30日，為進一步完善公司法人治理結構，建立和完善勞動者與所有者的利益共享機制，提高員工凝聚力和公司競爭力，促進公司長期、持續、健康發展，公司第八屆董事會第十一次會議審議通過了《關於公司員工持股計劃(草案)及其摘要》等相關議案，擬實施員工持股計劃。原承諾相關承諾人(在職人員)均積極參與了本次員工持股計劃，且認購數量較大，擬投入資金已超出原計劃用於增持的數額，完全可以體現出相關承諾人員對公司未來發展的信心，由於資金壓力，因此相關承諾人員申請對原定於2020年底前實施的增持計劃予以延期進行。
2、由於目前已距上述自願承諾日期逾兩年時間，原承諾相關承諾人因工作變動、離職、退休等相關原因，已有多人不在公司任職或不再擔任公司董事、監事、高級管理人員、公司控股子公司經營層人員。考慮到人員變化等情況，為使原承諾事項更具有可操作性和可實施性，更好地實現當初自願承諾增持的初衷，相關承諾人員申請對前期承諾中未明確的“增持主體、增持期間及具體增持時間安排”予以進一步明確。
(二)擬延期實施增持計劃並明確增持承諾情況
1、增持主體由“公司部分董監高及公司控股子公司經營層人員”明確為“2018年10月9日參與自願承諾的公司部分董監高及公司控股子公司經營層人員(增持時因工作變動、離職、退休等相關原因，不在公司任職、領取薪酬或不再擔任公司董事、監事、高級管理人員、公司控股子公司經營層人員除外)”。
2、增持期間和具體增持時間安排由“自2018年起以不低於每年年度績效薪資的30%用於增持公司股份，且承諾自增持實施完成之日起3年內(在公司任職期間)不減持該部分股份”明確為“自2018年起至2022年以不低於每年年度績效薪資的30%用於增持公司股份，於次年11月-12月實施完畢，且承諾自增持實施完成之日起3年內(在公司任職期間)不減持該部分股份”。
3、原定於2020年底前實施的增持計劃(2019年度績效薪資的30%)延期至2021年11月-12月實施完畢；2020年度績效薪資30%的增持計劃按原計劃在2021年實施完畢；2021年度績效薪資30%的增持計劃按原計劃在2022年實施完畢；2022年度績效薪資30%的增持計劃按原計劃在2023年實施完畢。
