移卡(09923.HK)擬先舊後新配售2079.5萬股及售股股東出售380.5萬股
格隆匯 12 月 4日丨移卡(09923.HK)發佈公告，2020年12月4日，公司、補足賣方與配售代理訂立配售及認購協議，據此，(i)補足賣方同意出售及各配售代理已個別地同意(作為補足賣方代理)按竭誠盡力基準促使買方按每股37.88港元的價格購買補足賣方所持有的約2079.5萬股配售股份；及補足賣方有條件同意(作為主事人)按相當於配售價的認購價認購，而公司有條件同意發行約2079.5萬股認購股份。
Creative Brocade International Limited(“補足賣方”)於公司所持股權將於緊隨賣方配售完成後由截至該公告日期公司已發行股本的約38.88%減少至約34.00%，並將於緊隨認購完成後增加至經認購擴大的公司已發行股本的約37.07%，從而觸發收購守則規則26項下的全面要約責任(惟獲執行人員根據收購守則作出豁免者則除外)。補足賣方已向執行人員申請向補足賣方授出豁免，免除其因認購而須根據收購守則規則26作出全面要約的責任。
發行認購股份毋須獲得股東批准，而認購股份將根據股東依據股東書面決議案授予董事的一般授權發行。根據一般授權，董事獲授權配發、發行及買賣最多約8296.1萬股股份，佔緊隨股份拆細及全球發售完成後公司已發行股本總面值的20%。截至該公告日期，公司尚未根據一般授權發行任何股份。公司將向聯交所申請批准認購股份的上市及買賣。
此外，公司已獲售股股東告知，售股股東Longwood Capital Investment Limited於2020年12月4日與配售代理訂立大宗交易協議，據此，售股股東同意出售，而各配售代理個別地同意(作為售股股東的代理)按竭誠盡力基準促使買方按相當於配售價的價格每股待售股份37.88港元購買合計約380.5萬股待售股份，佔公司截至該公告日期已發行股本總數約0.89%。賣方配售及出售為同時進行並將同步交割，但並非互為條件。
總數約2079.5萬股配售股份佔公司於該公告日期已發行股本的約4.88%及佔經認購擴大的公司已發行股本的約4.65%。配售價每股配售股份37.88港元較最後交易日收市價每股41.55港元折讓約8.83%。認購股份數目等同於配售股份數目，認購價等同於配售價。認購所得款項總額預期約為7.877億港元，認購所得款項淨額經扣除所有適用成本及開支後估計約為7.78億港元。
