惠程科技(002168.SZ)：申優資產及上海期期投資將成為公司控股股東的一致行動人
格隆匯 12 月 3日丨惠程科技(002168.SZ)公佈，公司於近日收到公司控股股東中馳惠程企業管理有限公司(“中馳惠程”)的通知，中馳惠程、共青城中源信投資管理合夥企業(有限合夥)(“中源信”)、北京信中利京信管理諮詢合夥企業(有限合夥)(“信中利京信”)、日照匯銀股權投資基金管理合夥企業(有限合夥)(“匯銀投資”)、富興投資基金(廣州)有限公司—富興沁園春1號私募證券投資基金(“沁園春1號”)、北京信中利普信股權投資中心(有限合夥)(“信中利普信”)與深圳申優資產管理有限公司(“申優資產”)、上海期期投資管理中心(有限合夥)(“上海期期投資”)簽署了《一致行動人協議》。
此協議簽署前，控股股東中馳惠程及一致行動人中源信、信中利京信、匯銀投資、沁園春1號、信中利普信分別持有公司股份8455.74萬股、1722.38萬股、2070萬股、2973.82萬股、2115.64萬股、1846.18萬股，佔公司目前總股本的比例分別為10.54%、2.15%、2.58%、3.71%、2.64%、2.30%，合計持有公司股份1.92億股，佔公司目前總股本的比例為23.92%。此協議簽署前，申優資產及上海期期投資未持有公司股份。
因融資融券業務到期且無展期計劃，信中利普信計劃將其持有的公司股份1326萬股轉讓給申優資產指定的一致行動人上海期期投資，佔公司總股本比例為1.65%，在此協議簽訂生效後，申優資產及上海期期投資將成為公司控股股東的一致行動人。
公司於2020年12月3日收到信中利普信的函告，信中利普信於2020年12月3日通過深圳證券交易所大宗交易系統將其持有的公司股份186萬股以5.90元/股的價格轉讓給公司控股股東的一致行動人上海期期投資，佔公司總股本比例為0.23%。截止公告披露日，信中利普信持有公司股份1660.18萬股，佔公司股份總股本比例為2.07%。
