移卡(09923.HK)拟先旧后新配售2079.5万股及售股股东出售380.5万股
格隆汇 12 月 4日丨移卡(09923.HK)发布公告，2020年12月4日，公司、补足卖方与配售代理订立配售及认购协议，据此，(i)补足卖方同意出售及各配售代理已个别地同意(作为补足卖方代理)按竭诚尽力基准促使买方按每股37.88港元的价格购买补足卖方所持有的约2079.5万股配售股份；及补足卖方有条件同意(作为主事人)按相当于配售价的认购价认购，而公司有条件同意发行约2079.5万股认购股份。
Creative Brocade International Limited(“补足卖方”)于公司所持股权将于紧随卖方配售完成后由截至该公告日期公司已发行股本的约38.88%减少至约34.00%，并将于紧随认购完成后增加至经认购扩大的公司已发行股本的约37.07%，从而触发收购守则规则26项下的全面要约责任(惟获执行人员根据收购守则作出豁免者则除外)。补足卖方已向执行人员申请向补足卖方授出豁免，免除其因认购而须根据收购守则规则26作出全面要约的责任。
发行认购股份毋须获得股东批准，而认购股份将根据股东依据股东书面决议案授予董事的一般授权发行。根据一般授权，董事获授权配发、发行及买卖最多约8296.1万股股份，占紧随股份拆细及全球发售完成后公司已发行股本总面值的20%。截至该公告日期，公司尚未根据一般授权发行任何股份。公司将向联交所申请批准认购股份的上市及买卖。
此外，公司已获售股股东告知，售股股东Longwood Capital Investment Limited于2020年12月4日与配售代理订立大宗交易协议，据此，售股股东同意出售，而各配售代理个别地同意(作为售股股东的代理)按竭诚尽力基准促使买方按相当于配售价的价格每股待售股份37.88港元购买合计约380.5万股待售股份，占公司截至该公告日期已发行股本总数约0.89%。卖方配售及出售为同时进行并将同步交割，但并非互为条件。
总数约2079.5万股配售股份占公司于该公告日期已发行股本的约4.88%及占经认购扩大的公司已发行股本的约4.65%。配售价每股配售股份37.88港元较最后交易日收市价每股41.55港元折让约8.83%。认购股份数目等同于配售股份数目，认购价等同于配售价。认购所得款项总额预期约为7.877亿港元，认购所得款项净额经扣除所有适用成本及开支后估计约为7.78亿港元。
