正業科技(300410.SZ)：擬變更公司2020年度審計機構
格隆匯 12 月 3日丨正業科技(300410.SZ)公佈，公司於2020年12月3日召開第四屆董事會第二十一次會議，審議通過了《關於變更公司2020年度審計機構的議案》，擬改聘永拓會計師事務所(特殊普通合夥)(“永拓事務所”)為公司2020年度審計機構，並提請股東大會授權公司管理層根據行業標準和公司審計的實際工作情況確定審計費用。公司獨立董事對本次變更會計師事務所發表了事前認可意見和同意的獨立意見，該事項尚需提交股東大會審議。
經公司2019年年度股東大會審議通過，公司聘請了致同會計師事務所(特殊普通合夥)(“致同事務所”)為公司2020年度審計機構，為公司提供審計服務。致同事務所在執業過程中堅持獨立審計原則，客觀、公正、公允地反映公司財務狀況、經營成果和現金流情況，切實履行了審計機構的職責，從專業角度維護了公司及股東的合法權益。鑑於其已連續多年為公司提供審計服務，為保障公司審計工作的獨立性與客觀性，經雙方事前溝通和協商，致同事務所不再擔任公司審計機構。
經公司謹慎研究，以及公司第四屆董事會審計委員會建議，公司擬改聘永拓會計師事務所(特殊普通合夥)擔任公司2020年度審計機構。永拓事務所建立了較為完善的質量控制體系，審計人員具有較強的專業勝任能力；永拓事務所近三年沒有受到刑事處罰、行政處罰和自律監管措施，已購買職業責任保險，具有較強的投資者保護能力，因此公司擬聘任永拓事務所為本公司提供2020年報審計服務，聘期一年，並提請股東大會授權公司管理層與其簽署相關協議，並根據行業標準和公司審計的實際工作情況確定審計費用。
公司已就變更2020年度審計機構的相關事宜與致同事務所進行了充分溝通，致同事務所明確知悉本事項並確認無異議，對公司變更會計師事務所的事項無陳述意見。公司董事會對致同事務所多年來提供的專業、嚴謹、負責的審計服務表示衷心的感謝。
