天壕環境(300332.SZ)擬向清新節能轉讓節能環保板塊18個餘熱發電項目
格隆匯12月3日丨天壕環境(300332.SZ)公佈，為聚焦燃氣板塊主業發展，打造集中游管道運輸和下游終端銷售於一身的燃氣企業集團，保障戰略投資實施，優化資產結構，合理配置資源，公司擬向清新環境全資子公司清新節能轉讓公司節能環保板塊18個餘熱發電項目，包括16個分公司的餘熱發電項目資產和負債(以下簡稱“餘熱發電項目資產組”)、全資子公司重慶天壕渝琥新能源有限公司(以下簡稱“重慶渝琥”)100%股權、控股子公司寧夏節能投資有限公司(以下簡稱“寧投公司”)直接持有的寧夏節能茂燁餘熱發電有限公司(以下簡稱“寧夏茂燁”)100%股權(上述餘熱發電項目資產組、重慶渝琥100%股權、寧夏茂燁100%股權以下合稱“18個餘熱發電項目資產”)，支付方式為現金支付。
根據北京北方亞事資產評估事務所(特殊普通合夥)出具資產評估報告，以評估基準日2020年7月31日，餘熱發電項目資產組賬面淨值合計為51,543.08萬元，評估價值為72,207萬元，交易對價為72,190萬元；重慶渝琥淨資產為5,427.46萬元，股東全部權益價值為5,804萬元，交易對價為5,804.00萬元；寧夏茂燁淨資產為8,223.34萬元，股東全部權益價值為8,406.00萬元，交易對價為8,406萬元；經交易雙方協商確定轉讓價格合計為86,400萬元。
2020年12月3日，公司與清新節能簽訂了《餘熱發電項目資產收購合同》、《關於重慶天壕渝琥新能源有限公司股權轉讓合同》，公司控股子公司寧投公司與清新節能簽訂了《關於寧夏節能茂燁餘熱發電有限公司股權轉讓合同》，三方同時簽訂了《<關於寧夏節能茂燁餘熱發電有限公司股權轉讓合同>、<關於重慶
天壕渝琥新能源有限公司股權轉讓合同>、及<餘熱發電項目資產收購合同>之補充協議》(以下簡稱“《補充協議》”)。本次交易完成後，上述餘熱發電項目資產組、重慶渝琥及寧夏茂燁將不再納入公司合併報表範圍。
