信息披露違規 神開股份(002278.SZ)收到上海證監局警示函
格隆匯 12 月 3日丨神開股份(002278.SZ)公佈，公司於2020年12月3日收到中國證券監督管理委員會上海監管局《關於對上海神開石油化工裝備股份有限公司採取出具警示函措施的決定》(滬證監決[2020]183號，“警示函”)，現將相關內容公告如下：
“上海神開石油化工裝備股份有限公司：
經查，你公司在信息披露方面存在以下問題：
2019年1月11日至2019年4月2日，你公司累計發生委託理財1.0994億元，佔最近一期經審計淨資產的10.26%。你公司未及時履行信息披露義務，直至2019年6月18日才發佈相關公告，對公司已累計發生的1.7346億元委託理財進行信息披露。
2019年6月21日至2019年11月12日，你公司累計發生委託理財1.1226億元，佔最近一期經審計淨資產的10.16%。你公司未及時履行信息披露義務，直至2020年2月14日才發佈相關公告，對公司新增累計發生的2.7741億元委託理財(實際發生日期為2019年6月21日至2020年1月22日)進行信息披露，但將金額誤披露為2.7571億元。
2020年2月12日至2020年5月13日，你公司累計發生委託理財1.3402億元，佔公司最近一期經審計淨資產的11.86%。你公司未及時履行信息披露義務，直至2020年11月6日才發佈相關公告，對公司新增累計發生的2.8997億元委託理財進行信息披露。
上述行為違反了《上市公司信息披露管理辦法》(證監會令第40號)第二條第一款、第三十條第一款、第二款第二項的規定。
根據《上市公司信息披露管理辦法》第五十九條第三項的規定，現對你公司予以警示。你公司應提高規範運作意識，切實做好信息披露工作。
如果對本監督管理措施不服，可以在收到本決定書之日起60日內向中國證券監督管理委員會提出行政複議申請，也可以在收到本決定書之日起6個月內向有管轄權的人民法院提起訴訟。複議與訴訟期間，上述監督管理措施不停止執行。”
