江河集團(601886.SH)：擬通過承銷商出售Healius全部股份 成交金額約16億元
格隆匯 12 月 2日丨江河集團(601886.SH)公佈，公司全資子公司Jangho Health Care Australia Pty Ltd、Golden Acumen Holdings Limited(下稱“賣方”)與Jarden Australia Pty Limited(下稱“Jarden或“承銷商”)於2020年12月2日簽署了承銷協議，約定賣方將通過承銷商以大宗交易方式按照每股澳幣3.55元出售賣方持有的Healius Limited(下稱“Healius”)全部股份，針對未售出的股份由承銷商包銷。
賣方合計持有Healius 9312.8981萬股份(下稱“標的股份”)，標的股份將通過Jarden以大宗交易方式出售。承銷商將以每股澳幣3.55元的交易價格尋找購買方，成交金額為澳幣330,607,882.55元，約摺合人民幣為16億元。針對上述成交金額，Jarden將於2020年12月7日(下稱“結算日”)支付給賣方。如果承銷商未能促使購買者購買標的股份或未能售出標的股份，則由承銷商購買剩餘或全部標的股份。在承銷過程中，賣方將保留對銷售標的股份的所有權，直到在結算日將其轉讓為止。承銷費用為成交金額的0.25%，約為澳幣82.65萬元(約摺合人民幣400萬元)。
根據《企業會計準則第22號——金融工具確認和計量》（財會[2017]7號）的相關規定：公司將持有的Healius股份指定為按照公允價值計量且其變動計入其他綜合收益的金融資產，公司現持有的標的公司全部股份直接成本為澳幣2.87億元，交易最終金額與賬面價值的差異及本次的承銷費用計入其他綜合收益，因此該協議的簽署不會對公司2020年度淨利潤產生影響。如標的股份全部售出完成，將增加公司現金流入約人民幣16億元，所得資金優先歸還標的股份項下質押貸款，其餘資金用於公司生產經營。
