甬金股份(603995.SH)：董事會通過關於豁免股東自願性股份鎖定承諾的議案
格隆匯 12 月 2日丨甬金股份(603995.SH)公佈，公司近日收到公司創業投資基金股東弘盛投資、協同創新發來的《關於申請豁免股份自願鎖定相關事宜的函》。根據中國證監會頒佈的《上市公司創業投資基金股東減持股份的特別規定》(2020年修訂)，經公司核查，弘盛投資、協同創新符合《特別規定》的相關規定。兩位股東提請豁免於公司首次公開發行股份時所作出的股份自願鎖定承諾。
公司於2020年12月2日召開第四屆董事會第十八次會議和第四屆監事會第十三次會議，審議通過了《關於豁免股東自願性股份鎖定承諾的議案》，關聯董事史釗迴避表決。獨立董事亦對此發表了明確的同意意見。本議案尚需公司2020年第三次臨時股東大會審議。
豁免自願性承諾的原因以及依據：2020年3月6日，中國證監會頒佈了《上市公司創業投資基金股東減持股份的特別規定》(2020年修訂)[證監會公告〔2020〕17號]。經弘盛投資、協同創新申請，又經公司核實，兩位股東適用《特別規定》相關條款。
根據《公司法》、《證券法》、《上海證券交易所股票上市規則》、《上市公司監管指引第4 號-上市公司實際控制人、股東、關聯方、收購人以及上市公司承諾及履行》等相關規定，弘盛投資、協同創新提請公司董事會、監事會、股東大會豁免上述自願性承諾的相關事項。
此次豁免股份鎖定承諾事項意在貫徹落實《上市公司創業投資基金股東減持股份的特別規定》(2020年修訂)，促進上市公司可持續健康發展，不存在損害上市公司和中小股東利益的情況。此次豁免事項不會對上市公司未來發展造成不利影響，不會損害中小股東的合法權益，有利於公司長遠發展。此次申請豁免承諾為股東在公司上市時自願做出的股份鎖定承諾，不違反《公司法》、《上海證券交易所股票上市規則》等法律法規及規範性文件的強制性規定，因此不會對上市公司造成額外的負擔或不利影響。
