台海核電(002366.SZ)：萊山法院已受理台海集團破產重整一案
格隆匯 12 月 1日丨台海核電(002366.SZ)公佈，近日，公司收到控股股東煙台台海集團有限公司(“台海集團”)轉發的山東省煙台市中級人民法院)“煙台法院”)《民事裁定書》【(2020)魯06破(申)26號】，山東省煙台市萊山區人民法院(“萊山法院”)《通知書》【(2020)魯0613破4號】。
2020年11月11日，申請人祥隆集團以被申請人台海集團資不抵債，明顯缺乏清償能力為由向煙台法院申請重整。
煙台法院查明，目前被申請人負債規模遠大於資產，並在多個執行案件中被列為被執行人，其中多個執行案件因被申請人無可供執行財產而終結執行，資產可變現能力很低，股權及設備等財產皆已抵押給金融機構，且存在多輪查封，明顯缺乏清償能力。
煙台法院認為，台海集團系煙台市市場監督管理局登記成立的有限責任公司，本院具有管轄權；被申請人公司現無力清償到期債務，且已達資不抵債，申請人作為債權人申請被申請人重整主體適格，依法應予受理。因其經營地址和辦事機構均在萊山區，由萊山區人民法院審理方便與各方當事人聯繫，作為關聯公司的煙台台海瑪努爾核電設備有限公司破產重整一案已在萊山區人民法院裁定受理，便於化解重整工作中的各種問題。現經山東省高級人民法院批覆，根據《中華人民共和國企業破產法》第二條第二款、第三條、第七條第一款、第七十條第一款、第七十一條之規定，裁定：受理申請人祥隆企業集團有限公司對被申請人煙台市台海集團有限公司的重整申請，本案由山東省煙台市萊山區人民法院管轄。本裁定自即日起生效。
依照《通知書》中相關內容，萊山法院於2020年11月30日受理台海集團破產重整一案，指定台海集團重整工作組為台海集團管理人。
截至公告披露日，台海集團及其一致行動人合計持有公司股份263,840,826股，佔公司股份總數的30.43%。鑑於控股股東所持公司股份已被全部凍結，可能存在實際控制權變動風險。若後續控股股東出現變更風險，公司將及時履行信息披露義務。
台海集團的破產重整方案尚未確定，破產重整進程及結果尚存在不確定性，破產重整事項對公司本期利潤或期後利潤的影響暫時無法判斷，公司將根據破產重整結果，依據企業會計準則的相關規定進行相應的會計處理；同時，台海集團存在因重整失敗而被法院宣告破產清算的風險；公司將密切關注其破產重整進程，並根據破產重整事項的進展及時履行信息披露義務。
