建發國際集團(01908.HK)附屬益悦與建發房產訂立可續期借款合同
格隆匯 12 月 1日丨建發國際集團(01908.HK)宣佈,於2020年12月1日,公司、公司的間接全資附屬公司廈門益悦置業有限公司("益悦")及建發房地產集團有限公司("建發房產")訂立可續期借款合同。根據可續期借款合同,建發房產同意向益悦授出本金額為人民幣95億元的貸款額度。建發房產將透過抵銷建發房產向公司提供的等額股東貸款履行其提供該貸款的責任。該貸款的初始年利率為中國人民銀行所頒佈的五年期以上貸款市場報價利率("LPR")x(1+增值税率)。若未來增值税税收政策允許利息支出抵扣進項税,則該貸款的利率將調整為五年期以上LPR。該貸款的利率將每六個月根據中國人民銀行上一個月發佈的最新五年期以上LPR更新。
根據可續期借款合同,該貸款的初始期限為10年,以後每5年為一個延期期限,即於可續期借款合同日期起計滿10年當日,益悦可選擇償還本金額及利息或將全部或部分還款再延期五年。在後者情況下,益悦仍可選擇將全部或部分還款延期五年,直至益悦償還全部未償還本金及利息為止。益悦每次選擇延期償還全部或部分款項時,該貸款的年利率將增加3%,直至其達至10%為止。益悦有權於可續期借款合同日期起計滿三年當日起任何時間提前贖回全部或部分未償還本金並結算對應利息。該貸款的利息應根據有關適用規定於所得税前扣除。
公告稱,該貸款將用於益悦的業務發展。董事相信,訂立可續期借款合同將對集團的整體融資有利:(i)該貸款的初始利率乃參考類似貸款的市場利率水平釐定,且該貸款的利率優於獨立第三方融資機構所提供的利率;(ii)由於有權延期償還該貸款全部或部分本金及利息,該貸款將確認為公司權益,同時亦將降低公司負債,公司得以更靈活調整其資本架構;及(iii)該貸款並無要求公司抵押或擔保其任何資產或提供任何保證(獨立第三方融資機構通常於提供類似貸款時會有所要求)。
