天齊鋰業(002466.SZ)：與銀團正在就修改及重述的貸款協議的關鍵條款進行進一步積極磋商
格隆匯 11 月 30日丨天齊鋰業(002466.SZ)公佈，2018年10月26日，公司及全資子公司Tianqi Lithium Australia Investments 1 Pty Ltd. (“TLAI1”)、Inversiones TLC SpA (“ITS”)與跨境併購銀團簽署了Syndicated Facility Agreement (“《境內銀團貸款協議》”)等文件，由TLAI1向銀團借入貸款25億美元(“境內銀團貸款”)。其中：(1)A類貸款13億美元，貸款期限1年，到期後可展期1年，自正式放款的當日2018年11月29日起算；(2)B類貸款12億美元，貸款期限3年，到期後可展期1年，展期期限到期後，可再次展期1年，自正式放款的當日2018年11月29日起算。
2018年10月29日，天齊鋰業、Tianqi Lithium Australia Investments 2Pty Ltd. (“TLAI2”)、ITS與跨境併購銀團簽署了Syndicated Facility Agreement (“《境外銀團貸款協議》”)等文件，由TLAI 2向銀團借入貸款10億美元(“境外銀團貸款”，與境內銀團貸款合稱“併購貸款”)。貸款期限1年，到期後可展期1年，自正式放款的當日2018年11月29日起算。2020年1月，公司已使用2019年12月配股募集資金提前償還境外銀團貸款本金約4.16億美元，剩餘境外銀團貸款本金為5.84億美元。
截至公告日，境內銀團貸款項下的A類貸款13億美元和境外銀團貸款餘額5.84億美元，合計18.84億美元已到期。
2020年第二季度以來，鑑於前述併購貸款中的18.84億美元(佔公司最近一期經審計淨資產的179.35%)將於2020年11月29日到期，而公司現金流水平並未得到實質性提高可能引發其他潛在風險，公司董事會從2020年4月28日開始先後以臨時公告、定期報告的形式多次對相關事項進展和風險持續進行了披露。
2020年11月30日，公司及公司相關子公司與銀團已簽署《展期函》，銀團同意將上述貸款自到期日起展期至以下日期之中的較早者：(1)2020年12月28日；(2)銀團代理行確認簽署的《修改及重述的貸款協議》生效。
《展期函》項下的展期將在銀團代理行書面告知銀團和公司其已收到由公司及相關子公司簽署妥當的擔保、保證確認及補充函、相關公司授權文件等時生效。同時，公司須在2020年12月10日或之前按現行適用利率支付相關貸款人要求的未付利息等。
公司與銀團正在就《修改及重述的貸款協議》的關鍵條款進行進一步積極磋商，如此次《展期函》項下的展期生效條件不能成就，則前述併購貸款無法展期至2020年12月28日；如最終未能簽署《修改及重述的貸款協議》，則前述併購貸款的進一步展期無法完成，可能導致併購貸款違約，進而引發債務交叉違約等風險；並引發罰息、違約金和滯納金等支付義務，也可能面臨訴訟、仲裁、銀行賬户被凍結、資產被凍結或處置等風險，影響公司正常的生產經營和業務開展，增加公司的財務負擔和資金壓力，並對公司本年度業績產生不利影響。
