*ST兆新(002256.SZ):擬簽訂深圳寶安區石巖街道兆新能源工業園城市更新單元項目拆遷補償安置協議
格隆匯 11 月 30日丨*ST兆新(002256.SZ)公佈,公司(“乙方”)擬對位於深圳市寶安區石巖街道兆新能源工業園城市更新單元項目進行整體拆除重建類城市更新。目前該項目已經深圳市寶安區政府批准,並列入《2018年深圳市寶安區城市更新單元第九批計劃》。根據國家相關法律以及《深圳市城市更新辦法》等相關規定,公司擬與深圳市聯璽投資發展有限公司(“聯璽投資”或“甲方”)簽訂《深圳市寶安區石巖街道兆新能源工業園城市更新單元項目拆遷補償安置協議》,該項目範圍內物業由宗地號為A716-0013、A716-0033兩個地塊組成,涉及國有已出讓用地面積34,693.90平方米,該項目擬申報更新範圍用地面積約34,693.90平方米,擬規劃為新型產業用地(M0)。
該項目的交易方式擬定以拆遷補償形式達成,所涉及的房屋建築面積18,815.88平方米。根據北京北方亞事資產評估事務所於2020年11月25日出具的資產評估報告,以2020年10月31日作為評估基準日,採用市場法確定估價對象的房屋建築物價值為人民幣233,693,229.6元(12420元/平方米×不動產權登記證載建築面積18815.88平方米=233,693,229.6元);採用收益法確定估價對象的納入評估範圍的房屋建築物價值為人民幣98,971,528.8元(5260元/平方米×不動產權登記證載建築面積18815.88平方米=98,971,528.8元)。結合估價對象的實際情況,最終採用市場法確定估價對象的市場價值為人民幣233,693,229.6元。
公司作為該項目的申報主體,同意聯璽投資為該項目的城市更新實施主體,且雙方一致同意就公司該項目更新範圍內全部土地及物業權益,聯璽投資以貨幣形式予以補償,拆遷補償款總價人民幣2.5億元。該交易達成後,聯璽投資作為該項目城市更新實施主體,享有該項目未來開發全部的相關收益權。
2020年11月29日,公司召開的第五屆董事會第三十八次會議全票審議通過了《關於簽訂<深圳市寶安區石巖街道兆新能源工業園城市更新單元項目拆遷補償安置協議>的議案》,獨立董事發表了明確同意的獨立意見,本議案尚需提交公司股東大會審議。
