*ST安通(600179.SH)：股東郭東澤、郭東聖簽署關於不謀求上市公司控制權的承諾函
格隆匯11月30日丨*ST安通(600179.SH)公佈，公司於近日收到公司股東郭東澤、郭東聖簽署的《關於不謀求上市公司控制權的承諾函》，現將具體內容公告如下：
“為安通控股股份有限公司(“安通控股”或“上市公司”)持續健康發展，作為安通控股的控股股東／實際控制人，本人特此不可撤銷地承諾，自本函出具之日起：
1.本人無條件且不可撤銷地放棄截至本承諾函出具日本人直接及間接持股安通控股全部股份(“棄權股份”)對應的股東大會召集權、提名權、提案權及表決權等股權權利(包括但不限於依法請求、召集、召開和出席安通控股股東大會，提交包括提名、推薦、選舉或罷免董事、監事在內的股東提議或議案及其他議案，對所有根據相關法律、法規、規章及其他有法律約束力的規範性文件或上市公司章程規定需要股東大會審議的事項行使表決權等股東權利)(“棄權權利”)，亦不會委託第三方行使前述棄權權利，僅保留該等股份對應的分紅權、收益權與最終處置權。
如因司法處置、質押式回購業務平倉或等原因導致本人持有上市公司股份數量減少的，就本人剩餘持有的上市公司股份，本人將繼續遵守上述承諾安排。自本承諾函出具之日起，本人通過任何方式直接或間接增持的安通控股股份或由於安通控股送紅股、轉增股本等原因增持的安通控股的股份，亦應遵守上述棄權承諾安排。
2.本人並確保本人關聯方和一致行動人：(1)不會以所持有的安通控股股份單獨或共同謀求安通控股的實際控制權；(2)不會以委託、徵集股票權、協議、聯合其他股東以及其他任何方式單獨或共同謀求安通控股的實際控制權。
若本人向其關聯方轉讓上述安通控股股份的，本人應當確保受讓人亦做出本承諾函項下的同等承諾。
本承諾自出具日至本人直接或間接持有安通控股任何股份之日止持續有效。若本人違反前述承諾，給安通控股或者投資者造成損失的，本人將依法承擔賠償責任。
特此承諾。”
