華測導航(300627.SZ)擬6900萬元購買珞珈新空46%股權
格隆匯 11 月 27日丨華測導航(300627.SZ)公佈，公司為進一步夯實和完善公司高精度三維空間信息裝備及解決方案相關業務佈局，整合相關資源，提升公司在高精度空間三維全景數據採集領域的先進技術水平，決定購買武漢珞珈新空科技有限公司(“珞珈新空”或“標的公司”)股東陳長軍、武漢新空企業管理諮詢合夥企業(有限合夥)、謝洪、劉瑛梅持有的合計46%股權。此次股權轉讓完成後，珞珈新空將成為公司的全資子公司。
公司參考評估機構銀信資產評估有限公司出具的《上海華測導航技術股份有限公司擬收購武漢珞珈新空科技有限公司股東股權所涉及的武漢珞珈新空科技有限公司股東全部權益價值評估報告》(銀信評報字[2020]滬第1899號)，最終按1.5億元人民幣的標的公司估值分別購買陳長軍、武漢新空企業管理諮詢合夥企業(有限合夥)、謝洪、劉瑛梅持有的標的公司合計46%股權，共計6900萬元人民幣。
珞珈新空系公司的控股子公司。2017年，公司通過增資，持有珞珈新空51%股權，2020年初，公司購買陳長軍持有的珞珈新空3%股權，成為珞珈新空持股54%的股東。
多年來，珞珈新空與公司一直在高精度三維空間信息裝備及解決方案領域精誠合作，打造了較成熟的、有市場競爭力的產品和解決方案，開拓市場，取得了良好的業績成果。公司此次投資的主要目的是為了進一步夯實和完善公司高精度三維空間信息裝備及解決方案相關業務佈局，提升公司在高精度空間三維全景數據採集領域的先進技術水平和核心競爭力，加快公司在該領域的技術研究、市場拓展步伐，抓住高精度三維空間信息裝備及解決方案領域的市場機會，符合公司的長期發展戰略。
所以公司此次使用自有資金對珞珈新空投資，充分整合公司與珞珈新空的資源，發揮和利用雙方的專業能力與優勢，增強公司在高精度三維空間信息裝備及解決方案領域的競爭力，抓住市場發展機遇，擴大公司規模，為公司創造良好的經濟效益，符合公司和股東利益。
