南天信息(000948.SZ)：擬與劉宇明等星立方股東解除一致行動關係
格隆匯 11 月 27日丨南天信息(000948.SZ)公佈，公司為落實國企深化改革關於壓縮管理層級的要求以及適應北京星立方科技發展股份有限公司(“星立方”)業務發展的需要，同時便於各股東更清晰地獨立表達其真實意願，優化資源整合，實現公司健康可持續發展。經公司第八屆董事會第四次會議、第八屆監事會第四次會議審議通過《關於解除與北京星立方科技發展股份有限公司相關股東一致行動關係的議案》，公司擬與劉宇明等星立方股東解除一致行動關係，該事項尚需提交公司股東大會進行審議。
公司為拓展教育信息化業務，經公司第七屆董事會第十六次會議、第八屆監事會第十一次會議、2018年第四次臨時股東大會審議通過，公司通過參與星立方定向增發，獲得星立方28.54%的股權，成為星立方的第一大股東；通過與劉宇明等星立方核心股東簽署《雲南南天電子信息產業股份有限公司與劉宇明、李曉軍等關於北京星立方科技發展股份有限公司之一致行動協議》的方式，取得星立方核心股東劉宇明等持有星立方44.18%股份的表決權，公司合計持有及控制星立方72.71%股份的表決權，並通過佔有董事會中的多數席位獲得星立方董事會控制權，實現對星立方的實際控制。
雲南省國資委要求雲南省屬國有企業減少管理層級，提出了國有企業管理層級儘量不要超過三級等原則性要求，並通過雲南省《國有企業改革攻堅戰實施方案》和《雲南省省屬企業全面深化改革攻堅戰責任書》，明確了國企深化改革壓縮管理層級等改革任務。星立方擁有七個子公司，其中一個子公司下設一個孫公司、兩個重孫公司。目前，星立方下屬子公司成為公司的三、四、五級企業，但由於星立方業務發展需要，加之國資決策流程及全國中小企業股份轉讓系統監管、決策要求，公司無法將星立方下屬子公司簡單的撤銷或者合併。受疫情影響，公司對星立方下屬兩家境外子公司管理困難，亦無法在短時間內將其關閉，致使公司及公司控股股東管理層級大大增厚。根據國資監管要求需壓縮管理層級，同時為支持星立方業務發展，提高星立方決策效率，實現公司健康可持續發展，公司擬解除與劉宇明等星立方股東的一致行動關係。解除一致行動關係後，公司對星立方的投資仍然屬於公司的戰略投資，公司將與星立方繼續進行業務協同，繼續共享技術和市場信息。
