证监会就房地产投资信托基金发表谘询总结 将容许投资少数权益物业及扩借款限制

证监会今天就关於香港房地产投资信托基金的建议,发表谘询总结。有关建议旨在为房地产投资信托基金在进行投资时提供更大灵活性,监於获得回应者的广泛支持,证监会将会落实有关建议,并作出了一些修订,以厘清某些特定规定。

证监会行政总裁欧达礼表示,有关修订将有助维持本港房地产投资信托基金市场的竞争力和促进其长远发展,并同时能确保投资者得到保障。

经修改的《房地产投资信托基金守则》将在刊宪後生效。就在生效日期前订立的关连人士交易而言,证监会将给予房地产投资信托基金六个月的过渡期,以便它们遵守经修改的规定,证监会亦会透过发出一系列常见问题,向业界提供进一步指引。

而建议修订包括容许房地产投资信托基金在符合各项条件的情况下投资於少数权益物业;容许房地产投资信托基金在取得单位持有人的批准及符合其他条件的情况下,在投资物业发展项目时,可超过现有的资产总值10%的上限;将房地产投资信托基金的借款限额由资产总值的45%提高至50%;及将适用於房地产投资信托基金的关连人士交易和须予公布的交易的规定,与上市公司的规定大致看齐,以符合现行的政策和惯例。

证监会接获28份意见书,包括来自房地产投资信托基金经理、受托人、业界组织、投资银行、估值师、律师事务所及个人的意见,绝大多数回应者都支持上述建议。他们提出的主要意见均以要求厘清各种技术事宜,经仔细考虑所接获的意见及基於本文件所载述的理由,证监会已采纳有关建议。
