香山股份(002870.SZ)：擬20.4億元收購均勝羣英51%股權 進入汽車零部件行業
格隆匯 11 月 26日丨香山股份(002870.SZ)公佈，公司將用全額現金支付的方式，收購均勝電子持有的均勝羣英51%股份。不涉及發行股份支付和重組上市等。此次交易完成後，公司將持有均勝羣英51%股權，標的公司將成為公司控股子公司。
此次交易香山股份擬以支付現金的方式購買均勝電子持有的均勝羣英51%股權，交易金額合計為20.4億元。
根據交易雙方簽署的《股份轉讓協議》，香山股份在協議簽署後3個工作日內向均勝電子支付5000萬元的交易保證金。
此後，香山股份於協議約定的先決條件滿足後、且標的股份交割過户後3個工作日內，支付第一期股份轉讓款12億元。雙方確認所約定的交易保證金在第一期款項支付時自動轉化為第一期股份轉讓款。
最後，香山股份最遲於2022年6月30日前向均勝電子支付剩餘的股份轉讓款8.4億元。
此次交易標的為均勝電子持有的均勝羣英51%股份。根據銀信評估出具的《評估報告》(銀信評報字(2020)滬第1693號)，此次評估採用市場法和收益法進行評估，最終採用收益法評估結果作為本次評估結論。以2020年9月30日為評估基準日，均勝羣英股東全部權益的評估值為41.39億元。
以前述資產評估報告的評估價值為基礎，上市公司就本次擬購買的均勝羣英51%股份需支付的交易總對價為20.4億元，約為其對應評估價值21.11億元的96.64%。
根據上市公司與交易對方簽署的《業績承諾與補償協議》，交易雙方同意業績承諾期間為2021年、2022年和2023年。均勝電子承諾2021年至2023年標的公司扣非淨利潤累計不低於9億元(含本數)。
此次交易後，均勝羣英將成為香山股份子公司，香山股份新增汽車零部件相關業務。香山股份擬通過此次交易進入汽車零部件行業，形成儀器儀表業與汽車零部件行業雙主業，通過內生式和外延式的發展，增強公司盈利能力，謀求長期健康發展，為全體股東創造更大效益。
