凱撒旅業(000796.SZ)：將活力天匯10.54%股權轉讓給陝西基金並約定未來購回的權利與義務
格隆匯 11 月 26日丨凱撒旅業(000796.SZ)公佈，公司於2020年11月25日召開第九屆董事會第二十八次會議，審議通過《關於以參股公司股權開展約定購回交易的議案》。
公司就持有的4153.2448萬股深圳市活力天匯科技股份有限公司(“活力天匯”)股份(比例為10.54%)，與陝西省民營經濟高質量發展紓困基金合夥企業(有限合夥)(“陝西基金”)簽訂約定購回一攬子協議(以下合稱為“約定購回交易”)。此次約定購回交易中，公司將持有的10.54%活力天匯股權(“標的股份”)以2.54億元轉讓給陝西基金，並約定雙方對於該部分股權未來購回的權利與義務，具體如下：
(1)自股份轉讓價款支付之日起滿24個月且活力天匯未遞交上市申請材料，則在滿24個月之次日起90日內，陝西基金有權要求公司回購部分或全部標的股份；
(2)自股份轉讓價款支付之日起24個月內且在活力天匯向交易所遞交上市申請材料前，公司有權回購50%的標的股份，公司行使該回購權時陝西基金亦有權要求公司回購不低於50%的標的股份。
由於標的股份已作為公司債券“17凱撒03”回售兑付的增信措施進行質押，為推動此次交易順利進行，公司已與債券受託管理機構中信建投證券股份有限公司(“中信建投”)達成協議，中信建投同意其指定賬户中有足額兑付回售債券資金後，將配合公司完成標的股份解質押操作，陝西基金亦同意在上述股份轉讓及回購一攬子協議生效後向公司支付全部股權轉讓價款。股份轉讓款支付完成後至標的股份過户前，公司將標的股份質押給陝西基金。
2020年9月，為強化主業發展進一步佈局國內旅遊市場，公司擬購買控股股東凱撒世嘉旅遊管理顧問股份有限公司(“凱撒世嘉”)及其一致行動人合計持有的2528.1136萬(佔比6.42%)股活力天匯股份(“前次股權交易”，詳見《關於購買深圳市活力天匯科技股份有限公司部分股權暨關聯交易的公告》)，並簽署《轉讓協議書》。為避免此次交易與前次股權交易構成短線交易，同步綜合考慮公司經營情況及融資需求，公司與控股股東及其一致行動人根據協議協商一致決定解除前次股權交易，並且由控股股東及其一致行動人將其持有的活力天匯股權質押給陝西基金，以為公司的回購義務提供擔保，同步凱撒世嘉為此次公司回購義務提供連帶保證擔保。
