三峽水利(600116.SH)：子公司擬向烏東德電站、白鶴灘電站提供相關運維檢修項目服務
格隆匯 11 月 26日丨三峽水利(600116.SH)公佈，公司於2020年11月26日召開的第九屆董事會第二十二次會議審議通過了《關於向烏東德電站、白鶴灘電站提供相關運維檢修項目服務暨關聯交易的議案》，會議同意公司控股子公司聯合能源向長江電力所轄檢修廠提供關於烏東德電站、白鶴灘電站的三項運維檢修項目服務。長江電力系公司控股股東，為公司關聯法人，因此此次交易構成關聯交易。
此次關聯交易標的為公司控股股東長江電力所轄檢修廠關於烏東德電站、白鶴灘電站的三項運維檢修項目，合同金額共計6921.19萬元，具體服務內容如下：
1.烏東德電站、白鶴灘電站接機發電及流域電站應急搶修保障協助項目
提供服務內容：協助參與烏東德電站、白鶴灘電站接機發電工作；協助開展設備設施檢修策劃和準備工作；協助實施流域電站應急搶修保障工作。合同金額2931.55萬元。
2.烏東德電站接機發電配合項目
提供服務內容：協助參與烏東德電站工程建設管理、接管設備設施；配合開展設備設施檢修、應急搶修、接管設備巡檢、尾工項目管理、消除安全隱患；協助校核管理標準、起草技術標準、設備設施接管方案；協助開展安全檢查及安全活動等。合同金額2352.87萬元。
3.白鶴灘電站電力生產準備及接機發電配合項目
提供服務內容：協助參與白鶴灘電站工程建設管理、接管設備設施；配合開展設備設施檢修、應急搶修、接管設備巡檢、尾工項目管理、消除安全隱患；協助校核管理標準、起草技術標準、設備設施接管方案；協助開展安全檢查及安全活動等。合同金額1636.77萬元。
此次交易有利於拓展公司運維檢修業務，充分發揮公司業務團隊優勢，提升公司運維檢修市場競爭力，不會對公司的正常經營、財務狀況以及經營成果帶來重大影響，不存在損害公司非關聯股東，特別是廣大中小投資者利益及公司利益的情形，不影響公司獨立性，公司主營業務也不會因此次關聯交易而對關聯方形成依賴。
