中國食品(00506.HK)擬向控股股東購買“悦活”及“LOHAS”系列商標
格隆匯11月26日丨中國食品(00506.HK)發佈公告，於2020年11月26日，公司的全資附屬公司中糧飲料與公司控股股東的聯繫人中糧我買網簽訂《悦活商標轉讓協議》，據此，中糧飲料同意收購及中糧我買網同意以現金代價人民幣1189.4萬元轉讓“悦活”系列商標；及與公司控股股東的附屬公司中糧食品營銷簽訂《LOHAS商標轉讓協議》，據此，中糧飲料同意收購及中糧食品營銷同意以現金代價人民幣61,500元轉讓“LOHAS”系列商標。
“悦活”系列商標包括中糧我買網於中國擁有的“悦活”等84個食品和飲料商品類別、提供食品和飲料服務類別等的註冊商標。除於執行《悦活商標轉讓協議》前，由中糧我買網授予中糧海優商貿有限公司或其附屬公司用於中糧我買網的生產和經營需要的29個商標（屬於“悦活”系列商標的一部分）外，“悦活”系列商標中的其餘商標均不附帶任何產權負擔。“LOHAS”系列商標包括中糧食品營銷於中國擁有的“LOHAS”等10個食品和飲料類商品類別的註冊商標。
公司表示，考慮到消費者對高端水品類產品的需求與日俱增，而集團現有品牌無法滿足進口水源水業務發展需要。然而“悦活”品牌主打“自然”、“健康”的品牌調性，並以各系列健康產品積累了部分忠實消費羣體，奠定了一定的消費者知名度。“悦活”品牌系列的形象符合進口高端水源水的產品形象，目標消費羣也基本契合。“LOHAS”系列商標中含有若干“悦活”商標的英文名稱，因此，同時收購“LOHAS”系列商標和“悦活”系列商標對集團的日後業務發展具有必要性。目前，根據“悦活”商標許可協議授予的商標已經被用於集團的進口水源水產品。
董事會認為，完成對“悦活”系列商標和“LOHAS”系列商標的收購後，中糧飲料將成為“悦活”系列商標和“LOHAS”系列商標的擁有者，而非被許可人，這將使集團能夠對“悦活”系列商標和“LOHAS”系列商標擁有絕對和持續的控制權，並能制定更長遠的業務戰略。董事會還認為該收購將有助集團更好地推動其水源水產品。
