未及時披露臨時提案 創新醫療(002173.SZ)及陳海軍被警示
格隆匯 11 月 25日丨創新醫療(002173.SZ)公佈，公司於2020年11月25日收到中國證券監督管理委員會浙江證監局下發的《關於對創新醫療管理股份有限公司及陳海軍採取出具警示函措施的決定》((2020)97號)，現將具體內容公告如下：
“創新醫療管理股份有限公司、陳海軍：
公司於2020年11月10日披露《關於召開2020年第一次臨時股東大會的通知》，擬在2020年11月25日召開臨時股東大會。公司郵箱於2020年11月12日收到股東浙江富浙資本管理有限公司(“富浙資本”)發來的《關於提請增加創新醫療管理股份有限公司2020年第一次臨時股東大會臨時提案的函》。2020年11月13日，富浙資本將上述臨時提案的書面紙質材料送至《通知》中所寫的股東大會召集人公司董事會辦公室聯繫地址。但公司遲至2020年11月18日才對上述臨時提案進行披露，並披露收到上述提案書面材料的時間為2020年11月16日。因此，公司存在未及時披露臨時提案的情形。
上述行為違反了《上市公司信息披露管理辦法》第二條、第三條的規定。公司董事長兼代董事會祕書陳海軍對上述行為負有主要責任。根據《上市公司信息披露管理辦法》第五十八條、第五十九條的規定，我局決定對你們釆取出具警示函的監督管理措施，並記入證券期貨市場誠信檔案。公司及相關人員應充分吸取教訓，加強相關法律法規學習，規範股東大會臨時提案及相關召開程序，認真履行信息披露義務，採取切實有效措施杜絕此類違規行為再次發生，並於2020年12月4日前向我局提交書面整改扱告。
如果對本監督管理措施不服的，可以在收到本決定書之日起60日內向中國證券監督管理委員會提出行政複議申請，也可以在收到本決定書之日起6個月內向有管轄權的人民法院提起訴訟。複議與訴訟期間，上述監督管理措施不停止執行。”
