渤海租賃(000415.SZ)：Avolon Funding就非公開發行10億美元優先無抵押票據 簽署了票據融資協議
格隆匯 11 月 25日丨渤海租賃(000415.SZ)公佈，之前公告披露，為滿足公司控股子公司Avolon Holdings Limited (“Avolon”)的業務發展需求，Avolon Holdings Funding Limited (“Avolon Funding”)作為票據發行人，擬向相關金融機構非公開發行總計10億美元優先無抵押票據。2020年11月16日(紐約時間)，Avolon Funding完成了上述優先無抵押票據的定價工作。
2020年11月23日(紐約時間)，Avolon Funding、Avolon及其下屬子公司與Wells Fargo Bank, National Association(“Wells Fargo”)籤署了《INDENTURE》票據融資協議，Wells Fargo作為受託人，Avolon Funding作為票據發行人，向相關金融機構非公開發行總計10億美元優先無抵押票據，票面利率為4.25%，票據到期日為2026年4月15日。上述票據募集資金將用於要約回購Avolon Funding及Avolon下屬全資子公司Park Aerospace Holdings Limited將於2022年至2023年到期的部分優先無抵押票據，並支付要約回購相關費用；剩餘募集資金將用於企業一般用途，包括可用於償還未來到期債務等。
上述票據的提前贖回條款：①當Avolon合併報表口徑淨負債權益之比大於2.5，且Avolon通過股東分紅、公司間借款及股權回購等方式向股東提供資金累計超過8億美元固定額度加上Avolon合併報表累計淨利潤的50%(自2018年1月1日開始計算)再加上向Avolon增資金額(自2018年1月1日開始計算)三者之和時，借款人需要承擔債券提前贖回義務。②當Avolon對關聯方進行除主營業務外的投資活動金額超過3億美元或其總資產1.25%兩者孰高，或Avolon與關聯方進行除主營業務外的共同對外投資活動中投資金額超過2.5億美元或其總資產1%兩者孰高，借款人需要承擔債券提前贖回義務。
